一般交易条款 General Purchase Terms and Conditions 1. 适用范围 1. Scope 1.1. 本一般采购条款（以下简称“条款”）适用于上海福迈迪工程技术有限公司（“福迈迪”）与其任何供应商（“供应商”）签订的所有合同（“供应商合同”）-- 甚至包括以后签订的合同。若经各方书面同意，与此条款冲突或具有补充功能的协议可优先于本条款。 1.1. These General Purchase Terms and Conditions (hereinafter “PT&C”) apply to all contracts – (“Supplier Contracts”) even future ones – entered into by Shanghai Formel D Technology and Engineering Co., Ltd. (“Formel D”) and any of its suppliers (“Suppliers”). Agreements that differ from or supplement the PT&C have priority over the PT&C if the parties have agreed this in writing. 1.2. 本条款也适用于福迈迪与供应商的任何关联方所签订的合同。供应商应促使其相关关联方遵守本条款，就如同该关联方本身已经接受和同意本条款一样。 1.2.
