Security confirmation. The Administrative Agent (or its counsel) shall have received from each of the Manager and any sub-managers, confirmations as to any existing security granted in connection with this Agreement and any other Secured Debt Documents.

(a) In consideration for the entry into this Agreement, each of the Issuer and the Parent confirms, acknowledges and agrees that the Security created or purporting to be created by it and in the case of the Issuer each other Obligor under any Transaction Security Documents shall, save as amended by this Agreement, continue in full force and effect as continuing security and extend to and secure all the liabilities and obligations of the Issuer under the Bond Terms (including, for the avoidance of doubt, any such liabilities and obligations as amended by the terms of this Agreement).

Each Obligor and each Security Provider confirms that the guarantees and Security Interests created by the Credit Agreement and the Security Documents remain in full force and effect and secure all amounts outstanding under the Finance Documents as amended by this Agreement, notwithstanding the amendments to the Credit Agreement made by this Agreement.

(a) The German Borrower hereby confirms that, deviating from Section 418 of the German Civil Code (Burgerliches Gesetzbuch), the Security Documents entered into by the German Borrower also shall secure the obligations of Kronos Norge AS, Kronos Denmark ApS and any of the other Obligors under the Amended Facility Agreement.

Each of the Company (for itself and as agent on behalf of each other Obligor) and the Parent confirms that, with effect from (and including) the Effective Date, the liabilities and obligations arising under the Amended and Restated Facility Agreement and the Finance Documents shall form part of (but do not limit) the “Secured Obligations”, the “Secured Claims” or the liabilities and obligations corresponding to “Secured Receivables” (as appropriate) as defined in any Transaction Security Document to which the Company, any Obligor or the Parent (as appropriate) is a party.
