Other Regulatory Approvals definition

Other Regulatory Approvals means the approvals required under applicable Foreign Antitrust Laws in Canada and, if required under applicable Foreign Antitrust Laws, Columbia.
Other Regulatory Approvals means those regulatory and anti-trust approvals set out in Section 8.1.
Other Regulatory Approvals means (A) the notices and/or filings listed set forth on Section 5.2(c)(i)(D) of the Parent Disclosure Letter and (B) all Regulatory Approvals (other than those contemplated by Section 7.1(b) or Section 7.1(c)), other than notices, reports and other filings, the failure of which to make or obtain would not reasonably be likely to have, individually or in the aggregate, (1) a Material Adverse Effect (without regard to the exceptions listed in clauses (A) through (F) of the definition of Material Adverse Effect) or (2) an adverse effect on the financial condition, properties, assets, liabilities, business or results of operations of Parent and its Subsidiaries (other than the Company and its Subsidiaries); and (iii) “Regulatory Approvals” means all notices, reports and other filings required to be made prior to the Effective Time by the Company or Parent or any of their respective Subsidiaries with, and all consents, registrations, approvals, permits, clearances and authorizations required to be obtained prior to the Effective Time by the Company or Parent or any of their respective Subsidiaries from, any Governmental Entity in connection with this Agreement and the consummation of the transactions contemplated by this Agreement.

More Definitions of Other Regulatory Approvals

Other Regulatory Approvals has the meaning set forth in Section 6.3.
Other Regulatory Approvals means: (1) other required non-US/non-EU antitrust or regulatory approvals for the acquisition of the Target, as determined, on or prior to the Notification Date, by Harbinger and/or (in the case of an approval that may be obtained on the basis of the Possible Offer Announcement) the Company and (2) other non-US satellite regulatory approvals, waivers, directions, consents, orders decisions (or any similar action) in respect of the change of control of any licenses and/or frequency assignments held by, or on behalf of, the Company and the Target or any of their Subsidiaries, as determined, on or prior to the Notification Date, by Xxxxxxxxx and/or (in the case of any regulatory approval, waiver, direction, consent, orders decision (or any similar action) that may be obtained on the basis of the Possible Offer Announcement) the Company.
Other Regulatory Approvals means any Authorization, permit, exemption, review, Order, decision or approval of, or any registration and filing with, any Governmental Entity, or the expiry, waiver or termination of any waiting period imposed by Law or a Governmental Entity, in each case required to be obtained in connection with the transactions contemplated by this Agreement, but excluding the Key Regulatory Approvals.
Other Regulatory Approvals means any consent, waiver, permit, exemption, review, order, decision or approval of, or any registration and filing with, any Governmental Entity, or the expiry, waiver or termination of any waiting period imposed by Law or a Governmental Entity, in each case in connection with the Arrangement, but does not include the PRC Approvals and the Investment Canada Act Approval;
Other Regulatory Approvals means Competition Act Clearance and CMHC Approval.
Other Regulatory Approvals shall have the meaning given to it in Section 4.3. “Overlap Period” means any taxable year or other taxable period beginning on or before and ending after the Closing Date. “Owned Real Property” shall have the meaning given to it in Section 4.16(a). “Performance Share Unit” means a performance share unit issued by MIC pursuant to a MIC Equity Plan that (a) as of the date hereof, vests on the basis of time and the achievement of performance targets and (b) is outstanding as of the Closing Date, pursuant to which the holder has a right to receive MIC common shares or cash after the vesting or lapse of restrictions applicable to such performance share unit, whether or not such receipt is deferred. “Permits” shall have the meaning given to it in Section 4.8. “Permitted Liens” means (a) statutory Liens or other Liens arising by operation of Law securing payments not yet due or which are being contested in good faith and by appropriate proceedings, including mechanics’, warehousemens’, suppliers’, materialmens’ and repairmens’ Liens (and, in the case of any such amounts overdue for a period in excess of sixty (60) days, for which adequate reserves have been provided on the Company’s financial statements in accordance with GAAP), (b) Liens for Taxes not yet due and payable or for current Taxes that are not yet delinquent or the amount or validity of which is being contested in good faith and by appropriate proceedings and for which adequate reserves have been provided on the Financial Statements in accordance with GAAP and which contests are set forth on Section 4.12 of the Company Disclosure Letter, (c) customary Liens affecting the Company Real Property, consisting of (i) easements, rights of way, servitudes, permits, licenses, surface leases, ground leases to utilities, municipal agreements, railway siding agreements and other similar rights, easements for streets, alleys, highways, telephone lines, gas pipelines, power lines and railways, and other easements or rights of way on, over or in respect of any such real property, in each case, that are of record, (ii) conditions, covenants or other similar restrictions, in each case, that are of record, (iii) encroachments, defects, exceptions, restrictions, exclusions, encumbrances, and other matters that would be shown in an accurate survey or physical inspection of such real property, (iv) Liens in favor of the lessors under the Real Property Leases or encumbering the interests of the lessors in such real proper...
