Where applicable, Seller and Seller’s Representatives shall employ all practicable methods to minimize emissions of nitrogen oxides (NOx) from their operations, including utilization of fuel efficient motors, best available control methods for minimizing blast emissions, etc.
The Seller shall quickly resolve all labor disputes which result from the Seller's or Seller’s Representatives presence at the work site, or other action under their control.
Purchaser and its accountants and financial and other advisors may make reasonable inquiries of Seller and/or Seller’s Representatives regarding questions concerning or disagreements with the Estimated Closing Statement arising in the course of Purchaser’s preparation of the Closing Statement and Seller shall, with Seller’s internal resources and personnel, assist the Purchaser in such preparation.
Seller and Seller’s Representatives shall control emissions, including, without limitation, fugitive and respirable dust, etc., and shall implement safety procedures, e.g., respirators, water sprays, etc., to protect Seller and Seller’s Representatives and third parties (including Elk Ridge personnel) from exposure to such pollutants.
The foregoing indemnity will include, without limitation, all costs and expenses incurred by Seller and/or Seller’s Representatives for attorneys employed to defend any such claim whether before or after initiation of a formal lawsuit or administrative proceeding.
