Common use of 01 – Indemnity Clause in Contracts

01 – Indemnity. Tenant shall indemnify, defend, save and hold harmless Landlord and its affiliates, trustees, agents, members, employees, officers, directors, successors and assigns (each, an “Indemnified Party”) from and against any 37 and all liability and damages and any and all injury, loss, claim, damage or suit of every kind and nature, including Landlord’s reasonable counsel fees and disbursements, to any person, firm, association or corporation or to any property, arising out of or based upon, related to, or in any way connected with, a breach of Tenant’s obligations under this Lease, the actions or omissions of Tenant or any Tenant Party or the use or occupancy of the Demised Premises, except that Tenant shall not indemnify Landlord for Landlord’s negligence or willful misconduct or the negligence or willful misconduct of any Indemnified Party, or for any Pre-Existing Environmental Condition in Article 10.
