1Upfront Payment. In partial consideration for the licenses granted to Novartis hereunder, Novartis shall pay XOMA a total upfront payment of Ten (10) Million Dollars (US$10,000,000) within five (5) Business Days of the Servier Lien Release.

The Parties acknowledge and agree that the Three Million Dollar ($3,000,000) Option Fee (as defined in the Option Agreement) paid to BicycleTx by Ionis pursuant to Section 4.1 of the Option Agreement has been fully credited against the total agreed upfront payment under this Agreement of Thirty-Four Million Dollars ($34,000,000).
1Upfront Payment. Within three (3) Business Days following the Effective Date, Sentynl shall pay Cyprium the Upfront Payment, which will be used to fund the Development of the Product. For the avoidance of doubt, the Upfront Payment, when made, shall be fully earned and not contingent upon any future performance or occurrence.

Advanz shall pay to Applied the non-refundable, non-creditable amount of Ten Million Euros (€10,000,000) in immediately available funds, wired to Applied using the wiring instructions provided by Applied in writing to Advanz, within ten (10) Business Days after the Effective Date.
