2The Contributor Clause Samples

2The Contributor. The Operating Partnership has delivered to the Contributor the Confidential Private Placement Memorandum and all related documents (collectively, the “Offering Documents”) of the Operating Partnership. Upon execution of this Agreement, the Contributor shall have 14 days to review the Offering Documents (the “Offering Review Period”). During the Offering Review Period, the Contributor may cancel this Agreement for any reason by delivering a cancellation notice to the Operating Partnership and Closing Agent on or before the expiration of the Offering Review Period and neither party shall have any further duties or obligations to the other hereunder (except for any obligation expressly surviving the termination of this Agreement).
2The Contributor. As of the Effective Date, the Contributor has reviewed and approved of the Confidential Private Placement Memorandum and all related documents (collectively, the “Offering Documents”) of the Operating Partnership.
2The Contributor. The Operating Partnership has delivered to the Contributor the Confidential Private Placement Memorandum dated June 1, 2018 for Lodging Fund REIT III, Inc., a Maryland corporation, as amended by Memorandum and Supplement No.1 dated July 16, 2018 Memorandum and Supplement No. 2 dated November 21, 2018, Memorandum and Supplement No. 3 dated May 20, 2019, Memorandum and Supplement No. 4 dated August 6, 2019, Memorandum and Supplement No. 5 dated June 1, 2018, Memorandum and Supplement No. 6 dated March 30, 2020; Memorandum and Supplement No. 7 dated April 13, 2020, Memorandum and Supplement No. 8 dated May 26, 2020, Memorandum and Supplement No. 9 dated March 19, 2021 and all related documents, including the Limited Partnership Agreement of Lodging Fund REIT III OP, LP dated April 11, 2018, and Amended and Restated Limited Partnership Agreement of Lodging Fund REIT III OP, LP dated June 15, 2020 (collectively, the “Offering Documents”) of the Operating Partnership. Upon execution of this Agreement, the ​ Contributor shall have reviewed the Offering Documents, and therefore waives its 14 day to review period. During the Offering Review Period, the Contributor may cancel this Agreement for any reason by delivering a cancellation notice to the Operating Partnership and Closing Agent on or before the expiration of the Offering Review Period and neither party shall have any further duties or obligations to the other hereunder (except for any obligation expressly surviving the termination of this Agreement).

  • The Contractor A general contractor shall be retained by Tenant to construct the Improvements. Such general contractor (“Contractor”) shall be selected by Tenant from a list of general contractors supplied by Landlord, and Tenant shall deliver to Landlord notice of its selection of the Contractor upon such selection.

  • The Contractor must 16.1.1. treat all Authority Protected Information as confidential and safeguard it accordingly, implementing appropriate technical and organisational measures to protect Authority Protected Information against disclosure; 16.1.2. only use the Authority Protected Information for the purposes of performing its obligations under the Framework Agreement; 16.1.3. only disclose the Authority Protected Information to such Contractor Representatives that are directly involved in the performance of the Framework Agreement and need to know the information; and 16.1.4. not disclose any Authority Protected Information without the prior written consent of the Authority.

  • The Assignor (i) represents and warrants that as of the date hereof its Commitment (without giving effect to assignments thereof that have not yet become effective) is as follows: Revolving Credit Commitment: $________________ and the aggregate amount of its participations in Letters of Credit is $___________, and the aggregate outstanding principal amount of the Loans owing to it (without giving effect to assignments thereof that have not yet become effective) is: $___________; (ii) represents and warrants that it is the legal and beneficial owner of the interest being assigned by it hereunder, and that such interest is free and clear of any adverse claim; (iii) makes no representation or warranty and assumes no responsibility with respect to any statements, warranties or representations made in or in connection with the Credit Agreement or any other instrument or document furnished pursuant thereto; (iv) makes no representation or warranty and assumes no responsibility with respect to the financial condition of the Company, Guarantor or any of their respective Affiliates or the performance or observance by the Company or any Guarantor of their respective obligations under the Credit Agreement or any other instrument or document furnished pursuant thereto or the enforceability of any such agreement, instrument or document; and (v) attaches the Revolving Credit Note referred to in paragraph 1 above and requests that the Agent exchange each such note for a Revolving Credit Note dated the Effective Date in the principal amount of $________ payable to the order of the Assignee, and a Revolving Credit Note dated the Effective Date in the principal amount of $________ payable to the order of the Assignor.
