• Permitting The goal of this task is to obtain all permits required for work completed under this Agreement in advance of the date they are needed to maintain the approved Agreement schedule. Permit costs and the expenses associated with obtaining permits are not reimbursable under this Agreement. Permits must be identified in the Permit Status Letter and issued before the Recipient can expend grant funds to complete activities for which a permit is required. The Recipient shall: • Prepare a Permit Status Letter that documents the permits required to conduct this Agreement. If no permits are required at the start of this Agreement, the Recipient will document this in the Permit Status Letter. The Permit Status Letter must include the following information for all permits required during the course of the Agreement: o the type of permit; o the name, address, and telephone number of the permitting jurisdictions or lead agencies. o the schedule the Recipient will follow in applying for and obtaining each permit. • Submit a copy of any permits required for work completed under this Agreement, if requested by the CAM. • Notify the CAM if, during the course of the Agreement, permits are not applied for or obtained according to the schedule provided in the Permit Status Letter, or applications for permits are denied, in writing within 10 working days of the date exceeded or notification of the permit denial. Either of these events may trigger a Critical Project Review meeting. • Prepare for discussion of the Permit Status Letter including the schedule for obtaining each permit at the Kick-off meeting (Task 1.2), and a deadline for submitting a revised Permit Status Letter (if needed), and copies of permits obtained will be developed. The impact on the project if the permits are not obtained in a timely fashion or are denied will also be discussed. If applicable, permits will be included as a line item in progress reports and will be a topic at Critical Project Review meetings. • Provide the CAM with an Updated Permit Status Letter if, during the course of the Agreement, additional permits are identified as being necessary to complete tasks under this Agreement, including the appropriate information on each permit and schedule for acquiring permits. Products: • Permit Status Letter including schedule for obtaining each permit. • Written notification of permit delay or denial, if applicable, within 10 working days of the date exceeded (pursuant to permit schedule date(s), notification of permit denial). • Updated Permit Status Letter (if applicable, including the appropriate information on each permit and schedule for acquiring permits). • A copy of any permits requested by XXX.

• PERMITTING AND LICENSURE At Grantee's sole expense, Grantee shall procure and maintain for the duration of this Contract any state, county, city, or federal license, authorization, insurance, waiver, permit, qualification or certification required by statute, ordinance, law, or regulation to be held by Grantee to provide the goods or services required by this Contract. Grantee shall be responsible for payment of all taxes, assessments, fees, premiums, permits, and licenses required by law. Grantee shall be responsible for payment of any such government obligations not paid by its Subcontractors during performance of this Contract.

• ACCIDENT PREVENTION T h i s p r o v i s i o n i s applicable to all Federal-aid construction contracts and to all related subcontracts.

• Searchability Offering searchability capabilities on the Directory Services is optional but if offered by the Registry Operator it shall comply with the specification described in this section.

• Upgrading You may request an Upgrade. For purposes of an Upgrade request, each individual who constitutes the Depositor under the agreement for Retail Direct Services is considered a required Signing Officer for purposes of acceptance of the Upgrade, and You agree to ensure that each such individual agrees to the Upgrade and accepts the terms of this Agreement before initiating the Upgrade request. Implementation of an Upgrade is subject to the approval of the Financial Institution. We may rely on Your Upgrade request when evidenced by a single Signing Officer and treat such Upgrade request as binding on You. If We then implement the Upgrade, this Agreement is deemed to be accepted by and binding on You. If multiple individuals constitute the Depositor, this Agreement will be deemed provisionally accepted until all individuals who constitute the Depositor under the agreement for Retail Direct Services provide evidence of their acceptance of this Agreement to the Financial Institution (“Provisionally Accepted”). You agree to ensure that all such individuals provide timely evidence of their acceptance of this Agreement to Us. While this Agreement is Provisionally Accepted, one of the following states will apply:

• Repeat Violations Xxxxxxx agrees to comply with all regulatory requirements and acknowledges that repeat violations could result in increased penalties in the future.

• Violence in the Workplace (a) The parties agree that violence shall be defined as any incident in which an employee is abused, threatened or assaulted while performing his or her work. The parties agree it includes the application of force, threats with or without weapons and severe verbal abuse. The parties agree that such incidents will not be condoned. Any employee who believes he/she has been subjected to such incident shall report this to a supervisor who will make every reasonable effort to rectify the situation. For purposes of sub-article (a) only, employees as referred to herein shall mean all employees of the Employer notwithstanding Article 2.12.

• STAFF ORIENTATION 4101 The Employer shall provide an appropriate orientation program for nurses newly employed. The orientation program shall include such essential information as policies, nursing procedures, the location of supplies and equipment, fire, safety and disaster plans. Where necessary, orientation shall be provided for nurses moving to a new area of practice. 4102 The Employer shall provide a program of inservice education for nurses pertinent to patient care. 4103 The Employer shall provide, access to reference materials as is required in relation to maintaining current knowledge of general nursing care. APPENDIX "A" - SALARIES A1. Effective April 1, 2013 - Monthly salaries include a 2% general increase. - Hourly salary is calculated as (monthly salary x 12) ÷ annual hours. • Licensing The Subrecipient, unless otherwise exempted by law, shall obtain and maintain all licenses, permits, and authority necessary to perform those acts it is obligated to perform under this Agreement.

• Responsibility for Environmental Contamination 5.20.1 Neither Party shall be liable to the other for any costs whatsoever resulting from the presence or release of any Environmental Hazard that either Party did not introduce to the affected Work Location. Both Parties shall defend and hold harmless the other, its officers, directors and employees from and against any losses, damages, claims, demands, suits, liabilities, fines, penalties and expenses (including reasonable attorneys' fees) that arise out of or result from (i) any Environmental Hazard that the Indemnifying Party, its contractors or agents introduce to the Work Locations or (ii) the presence or release of any Environmental Hazard for which the Indemnifying Party is responsible under Applicable Law.
