6(b). Section 1.6(b) is hereby amended and replaced in its entirety to read as follows:
6(b). Section 10.1.6(b) of the Loan Agreement is hereby amended and restated in its entirety as follows:
6(b). Section 9.6(b) shall be amended by changing the reference to “Section 2.1(d)” to “Sections 2.1(d) and (e).”
6(b). Section 7.6(b) shall be amended by deleting the last two sentences thereof and replacing them with the following: “In all other circumstances, the Agent shall hold all such insurance and condemnation proceeds as Collateral or, if directed by the Majority Lenders, apply such insurance and condemnation to the Revolving Loans.”
6(b). The following is added as a new subsection (b) to Section 2.6:
6(b). Section 1.6(b) of each Receivables Sale Agreement shall be amended and restated in its entirety to read as follows:
6(b). Section 5.6(b) of the Credit Agreement is hereby amended by inserting the following proviso at the end thereof: “provided, further, that in no event shall the Borrower or such Subsidiary perform or provide any material management, consulting, administrative or similar services to or for any Person other than the Borrower or a Subsidiary of the Borrower or a customer in the Ordinary Course of Business”
6(b). Section 11.6(b) shall be amended and restated as follows:
6(b). 4.9]. For students that switch between part-time and full-time modes of study, their maximum period of registration shall be calculated on a pro-rata basis to the full-time equivalent.
6(b). Where Party A is liable to the other parties under this Agreement, Party A's liability is reduced to the extent that any other party contributed any loss it suffered. For example, a party may have been negligent and contributed to its loss. Each party’s liability, including under an indemnity, under this Agreement is reduced proportionately to the extent that any damage, liability, loss or cost arises from, or is attributable to, any negligent, unlawful or reckless act or omission of, or breach of this Agreement by, any other party or its Personnel.
