Common use of 9Severability Clause in Contracts

9Severability. In the event that any provision of this Agreement becomes or is declared by a court of competent jurisdiction to be illegal, unenforceable or void, this Agreement shall continue in full force and effect without said provision; provided that such severability shall be ineffective if it materially changes the economic benefit of this Agreement to any party.

9Severability. In the event that If any term or provision of this Agreement becomes or is declared by a court of competent jurisdiction shall for any reason be held to be illegalinvalid, illegal or unenforceable or voidin any situation in any jurisdiction, then, to the extent that the economic and legal substance of the transactions contemplated hereby is not affected in a manner that is materially adverse to either party hereto, all other terms and provisions of this Agreement shall continue nevertheless remain in full force and effect without said provision; provided that such severability and the enforceability and validity of the offending term or provision shall not be ineffective if it materially changes the economic benefit of this Agreement to affected in any partyother situation or jurisdiction.
