A Buy. In Offer to a Potential Equity Holder shall include (i) the principal amount of Series 2 Notes being offered for purchase to such Potential Equity Holder, which shall be such Potential Equity Holder’s Buy-In Series 2 Note Amount, (ii) such Potential Equity Holder’s Series 2 Buy-In Purchase Price, (iii) such Potential Equity Holder’s Buy-In Purchase Option Fee, (iv) a notice that such Buy-In Offer may be accepted against payment in immediately available U.S. dollars, without setoff, counterclaim or defense, of such Potential Equity Holder’s Series 2 Buy-In Purchase Price and Buy-In Purchase Option Fee, (v) instructions on how to accept such Buy-In Offer, together with notice that such Buy-In Offer is void, and may not be accepted, after the last day of the Buy-In Rights Acceptance Period and that such Buy-In Offer will be deemed to have been rejected if not accepted on or before the last day of the Buy-In Rights Acceptance Period, (vi) notice that if such Potential Equity Holder accepts such Buy-In Offer, it shall be obligated to purchase Series 1 Notes as contemplated by Section 4.20 and (vii) a notice that no Potential Equity Holder shall be permitted to accept such Buy-In Offer, and the Company shall not be required to sell Series 2 Notes to such Potential Equity Holder, if such Buy-In Offer and sale of Series 2 Notes to such Potential Equity Holder would violate applicable securities laws or require registration under the Securities Act.

A Buy sell agreement attempts to provide a process to accommodate the departing shareholder while allowing the remaining shareholders to retain control of the business without being economically di.s.ad.v.a.n.ta.g.e.d. or risk be compromised. The buy/sell agree- ment establishes the procedure to determine the specific compromise. In reality, these objectives are in conflict. Efforts to resolve the conflicts are usually contentious and, invariably, one or all of the shareholders are disadvantaged in the process. Although there are as many variations of agreements as there are imaginations, most standard forms of agreement outline a process to determine and realize fair value. Three commonly used mechanisms are:

  • Buy-Sell (a) Either MCG, on the one hand, or the Manager and the Keystone Investor (acting together), on the other hand, shall have the right and the option to implement the buy/sell procedure as set forth in this Section 10.4 if permitted to do so under Section 9.1(e). For the purposes of this Section 10.4, the Manager and Keystone Investor shall be considered one Member.

Each such Purchase Request shall specify (i) the Purchase Price requested to be paid to the Seller (such amount, which shall not be less than $1,000,000, being referred to herein as the "Capital Investment" of the Receivable Interests then being Purchased), (ii) the date of such Purchase (which shall be a Business Day) and (iii) be accompanied by Computer Tape describing the Receivables that are the subject of the requested Purchase. The Servicer, on behalf of the Seller, shall submit no more than one (1) Purchase Request per calendar week and no more than four (4) Purchase Requests in any calendar month. The Agent shall promptly thereafter notify the Seller whether Conduit has determined to make a Purchase and, if so, whether all of the terms specified by the Seller are acceptable to Conduit. If Conduit has determined not to make a proposed purchase, the Agent shall promptly send notice of the proposed purchase to all of the Banks concurrently by telecopier, telex or cable specifying the date of such purchase. Such notice shall also set forth (i) the Purchase Price to be paid by each such Bank, which shall be equal to each Bank's Percentage multiplied by the aggregate amount of Capital Investment of the Receivable Interest being purchased and (ii) whether the Yield for such Receivable Interest is to be computed based on the Eurodollar Rate or on the Alternate Base Rate; provided, however, that the Eurodollar Rate may be used only if the related Purchase Notice is given at least two Business Days prior to the proposed Purchase Date.

  • Sale and Purchase Upon the basis of the representations and warranties and subject to the terms and conditions herein set forth, the Company agrees to issue and sell Ordinary Shares in the form of Firm ADSs, and each of the Selling Securityholders agrees to sell, in each case severally and not jointly, to the respective Underwriters and each of the Underwriters, severally and not jointly, agrees to purchase the number of Firm ADSs set forth opposite the name of such Underwriter in Schedule A attached hereto, subject to adjustment in accordance with Section 11 hereof, in each case at a purchase price of $[ ] per Firm ADS.
