BUYER'S REPRESENTATION CONCERNING FEES. Buyer represents and warrants that it has not incurred any obligation to any finder, broker or agent in connection with the transactions contemplated by this Agreement and will defend and indemnify the Company against any loss, cost or expenses of any kind arising out of any claim of such obligation.
