AAR Corporate due diligence. AAR were instructed to conduct a corporate legal due diligence review of the ION Administration Group to report on, amongst other things, the ION Administration Group’s compliance with statutory reporting obligations. AAR reviewed the statutory records of all of the entities in the ION Administration Group and, in particular, investigated the compliance of those entities with the requirements of the Class Order which determines the entitlement of various entities in the ION Administration Group to relief from various reporting requirements under Chapter 2M of the Act. This review identified that XCHO Pty Ltd (formerly Cootes Holdings Pty Ltd) is not a party to the Deed of Cross Guarantee and therefore is not a Pooled Entity (see section 4.2.3 for further details).

  • Corporate Services This Agreement sets forth the terms and conditions for the provision by PROVIDING PARTY to RECEIVING PARTY of various corporate services and products, as more fully described below and in Schedule 1.1(a) attached hereto (the Scheduled Services, the Omitted Services, the Resumed Services and Special Projects (as defined below), collectively, the “Corporate Services”).

  • Core Services The Company agrees to provide to the Municipality the Core Services set forth in Schedule “A”. The Company and the Municipality may amend Schedule “A” from time to time upon mutual agreement.

  • Compliance Control Services (1) Support reporting to regulatory bodies and support financial statement preparation by making the Fund's accounting records available to the Trust, the Securities and Exchange Commission (the “SEC”), and the independent accountants. (2) Maintain accounting records according to the 1940 Act and regulations provided thereunder. (3) Perform its duties hereunder in compliance with all applicable laws and regulations and provide any sub-certifications reasonably requested by the Trust in connection with any certification required of the Trust pursuant to the Xxxxxxxx-Xxxxx Act of 2002 (the “SOX Act”) or any rules or regulations promulgated by the SEC thereunder, provided the same shall not be deemed to change USBFS’s standard of care as set forth herein.
