ABANDONMENT OF PLAN REQUIRES STOCKHOLDER APPROVAL. Following approval of the Plan of Liquidation by the holders of the Company's Common Shares, the Company shall not abandon the Plan of Liquidation except upon the affirmative vote of the holders of at least two-thirds of the Common Shares.
