Ability to Enter Agreement. Each party represents and warrants that it is free to enter into this Agreement and to perform each of the terms and conditions of the Agreement.
Ability to Enter Agreement. The Hospital and UCSF each represents and warrants that it is free to enter into this Agreement and to perform each of the terms and conditions of the Agreement.
Ability to Enter Agreement. The Parties each represent and warrant that: (i) the execution, delivery, and performance of this Agreement do not conflict with any agreement, instrument, or understanding, oral or written, to which it is a party or by which it may be bound, nor does it violate any applicable law; (ii) it will comply in good faith with all regulations and statutes that may affect any rights or obligations of the Parties hereto; and
Ability to Enter Agreement. Each of the Parties represents and warrants on its own behalf that: (i) the execution, delivery, and performance of this Agreement do not conflict with any agreement, instrument, or understanding, oral or written, to which it is a party or by which it may be bound, nor does the execution, delivery, and/or performance of this Agreement violate any applicable law; (ii) it will comply in good faith with all regulations and statutes that may affect any rights or obligations of the Parties hereto; and (iii) in fulfilling its obligations hereunder, it will not use any intellectual property in a manner that infringes the rights of any other party.
Ability to Enter Agreement. The parties executing this Agreement hereby covenant and warrant that the corporation has full right and authority to enter into this Agreement, and that each of the persons signing on behalf of the corporation are duly authorized to do so.
Ability to Enter Agreement. Each Partner represents and warrants that it is duly organized, validly existing and in good standing under the laws of the state of its organization, with all requisite corporate power and authority to enter into this Agreement and to perform its obligations hereunder.
