Absence of Approvals Required. Relying upon the Corporation's representations and warranties with respect to the Investment Canada Act and the Competition Act as set out in subsection 3.1(b) of this Agreement, no authorization, approval, order, license, permit or consent of any governmental authority, regulatory body or court, and no registration, declaration or filing by ATI with any such governmental authority, regulatory body or court is required in order for ATI: (i) to incur the obligations expressed to be incurred by ATI pursuant to this Agreement; (ii) to execute and deliver all of the documents and instruments to be delivered by ATI pursuant to this Agreement; (iii) to duly perform and observe the terms and provisions of this Agreement; and (iv) to render this Agreement legal, valid, binding and enforceable in accordance with its terms;
