REPRESENTATIONS AND WARRANTIES OF THE VENDORS AND TARGET. The Target and each of the Vendors, on its own behalf and not on behalf of any other Vendor, hereby severally (and, for greater certainty, not jointly with any other Vendor) represents and warrants to REVITALIST, and acknowledges and confirms that REVITALIST is relying upon the representations and warranties in connection with the purchase by REVITALIST of the Target Shares and the transactions contemplated by this Agreement:
