Absence of Broker or Finder. Except for Gxxxxxx, Sxxxx & Co., whose fees and expenses will be paid by Kennametal, Seller represents and warrants to Buyer that no Person is acting or has acted for it or J&L as broker or finder in connection with the transactions provided for by this Agreement. Buyer represents and warrants to Seller that no Person is acting or has acted for it as broker or finder in connection herewith.

Absence of Broker or Finder. Seller and the Shareholders jointly and severally indemnify and hold Buyer harmless from and against any claims for a fee from any investment banker, broker, finder or other similar intermediary which has been retained by, or is authorized by, the Shareholders to act on behalf of any of them in connection with the consummation of the transactions contemplated by this Agreement. Buyer indemnifies and holds Seller and the Shareholders harmless from and against any claims for a fee from any investment banker, broker, finder or other similar intermediary which has been retained by, or is authorized by, the Buyer to act on its behalf in connection with the consummation of the transactions contemplated by this Agreement.

Absence of Broker or Finder. To Seller's Knowledge, none of the negotiations relating to this Agreement and the transactions contemplated hereby have been carried on with the intervention of any Person acting on behalf of Seller or the Corporation in such manner as to give rise to any valid claim against Seller, the Corporation or Purchaser for any broker's or finder's fee or similar compensation.

Absence of Broker or Finder. Xxxxx Xxxxxxxx assisted Seller in connection with the transactions provided for in this Agreement, and Seller will pay Xx. Xxxxxxxx $125,000 for such services. Except as described in the preceding sentence, Seller represents and warrants to Buyer that no person is acting or has acted for it as broker or finder in connection with the transactions provided for by this Agreement. Buyer represents and warrants to Seller that no person is acting or has acted for it as broker or finder in connection herewith. On the Closing Date, $125,000 will be paid out of the Asset Purchase Price to Xx. Xxxxxxxx for the services provided by him to the Seller. Each party hereto will indemnify and hold the other party harmless against any claims or demands for a brokerage commission from any other parties purporting to act on behalf of such party.

Absence of Broker or Finder. No person is acting or has acted for the Sellers as broker or finder in connection with the transaction contemplated hereby.

Absence of Broker or Finder. THC represents and warrants that no person is acting or has acted for it as broker or finder in connection with the transactions provided for by this Agreement. Colonial and SP represent and warrant to THC that no person is acting or has acted for it as broker or finder in connection herewith.

Related to Absence of Broker or Finder

No Broker or Finder Each of the parties hereto represents and warrants to the other that no broker, finder or other financial consultant has acted on its behalf in connection with this Agreement or the transactions contemplated hereby in such a way as to create any liability on the other. Each of the parties hereto agrees to indemnify and save the other harmless from any claim or demand for commission or other compensation by any broker, finder, financial consultant or similar agent claiming to have been employed by or on behalf of such party and to bear the cost of legal expenses incurred in defending against any such claim.
Broker or Finder No Person assisted in or brought about the negotiation of this Agreement or the Transactions in the capacity of broker, agent or finder or in any similar capacity on behalf of ATS.
No Broker’s or Finder’s Fees No agent, broker, investment banker, person or firm acting on behalf of Seller is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee in connection with any of the transactions contemplated herein except for the Seller as described in Appendix 201j.
No Brokers or Finders Other than as contemplated by this Agreement, the Company has not incurred and will not incur any liability for any finder’s or broker’s fee or agent’s commission in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby.
NO BROKERS, FINDERS OR FINANCIAL ADVISORY FEES OR COMMISSIONS No brokers, finders or financial advisory fees or commissions will be payable by the Company, its agents or Subsidiaries, with respect to the transactions contemplated by this Agreement.
No Broker Fees No broker’s or finder’s fee or commission will be payable with respect hereto or any of the transactions contemplated thereby; and the Borrower hereby agrees to indemnify the Administrative Agent and the Lenders against, and agree that they will hold the Administrative Agent and the Lenders harmless from, any claim, demand, or liability for any such broker’s or finder’s fees alleged to have been incurred in connection herewith or therewith and any expenses (including reasonable attorneys’ fees) arising in connection with any such claim, demand, or liability.
Broker’s or Finder’s Fees No agent, broker, person or firm acting on behalf of LICENSOR is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable in connection with this Agreement or any of the transactions contemplated hereby.
Brokers or Finders The Company has not incurred, and will not incur, directly or indirectly, as a result of any action taken by the Company, any liability for brokerage or finders’ fees or agents’ commissions or any similar charges in connection with this Agreement or any of the transactions contemplated hereby.
Broker’s or Finder’s Fee No agent, broker, Person or firm acting on behalf of Seller is, or shall be, entitled to any broker’s fees, finder’s fees or commissions from the Company, its Subsidiary or any of the other parties hereto in connection with this Agreement or any of the transactions contemplated hereby, other than fees payable to Xxxxxxxx, Inc. and Eurovest.
No Financial Advisor, Placement Agent, Broker or Finder The Company represents and warrants to the Investor that it has not engaged any financial advisor, placement agent, broker or finder in connection with the transactions contemplated hereby. The Investor represents and warrants to the Company that it has not engaged any financial advisor, placement agent, broker or finder in connection with the transactions contemplated hereby. The Company shall be responsible for the payment of any fees or commissions, if any, of any financial advisor, placement agent, broker or finder relating to or arising out of the transactions contemplated hereby. The Company shall pay, and hold the Investor harmless against, any liability, loss or expense (including, without limitation, attorneys' fees and out of pocket expenses) arising in connection with any such claim.
