Common use of Absence of Change Clause in Contracts

Absence of Change. Between the date of this Agreement and the Closing, no Material Adverse Change shall have occurred including, with respect to the assets of the Company, any material casualty loss or destruction of, or damage to, such assets, whether or not insured.

Between the date of this Agreement and the Closing, no Material Adverse Change material adverse change shall have occurred includingin the business, with respect to the assets assets, operations, prospects or financial or other condition of the any Company, nor shall there have occurred any material casualty loss or destruction of, or damage to, such any Company's assets, whether or not insured.

Between the date of this Agreement and the ClosingClosing Date, no Material Adverse Change shall have occurred includingin the Security Solutions or the Purchased Assets, with respect to the assets of the Company, nor shall there have occurred any material casualty loss or destruction of, or damage to, such assets, any of the Purchased Assets whether or not insuredcovered by insurance.
