Absence of Injunction. No order, stay, judgment or decree will have been issued by any court and be in effect restraining or prohibiting the consummation of the transactions contemplated hereby.
Absence of Injunction. There shall be no order or decree entered in any action or proceeding before a Governmental Entity of competent jurisdiction materially restraining, enjoining or prohibiting the consummation of this Agreement or the transactions contemplated hereby.
Absence of Injunction. No injunction shall have been issued by any court of competent jurisdiction and be in effect that prohibits or enjoins in any material respect the consummation of, the transactions contemplated by this Agreement.
Absence of Injunction. Absence of injunction or temporary restraining order which, in the judgment of the Administrative Agent would prohibit the making of any Loans under the Credit Agreement.

Absence of Injunction. No injunction that prohibits the consummation of the transactions contemplated hereby by Seller or Purchaser and that has been issued by a court of competent jurisdiction shall be in effect.
Absence of Injunction. No United States or state --------------------- governmental authority or other agency or commission or United States or state court or judicial body of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, injunction or other order (whether temporary, preliminary, or permanent) which is in effect and has the effect of prohibiting consummation of the transactions contemplated by this Agreement.
Absence of Injunction. No order, stay, injunction or decree of any court of competent jurisdiction shall have been issued that prevents or materially delays the consummation of the Note Transfers and no proceedings shall be threatened to such effect.
Absence of Injunction. No injunction or other Governmental Order shall have been issued by any Governmental Authority or court of competent jurisdiction and be in effect that prohibits or enjoins the consummation of the transactions contemplated by this Agreement with respect to the applicable Deferred Jurisdiction or France, as applicable.
Absence of Injunction. Neither River Bend nor Magna --------------------- shall be subject to any order, decree or injunction of a court or agency of competent jurisdiction which enjoins or prohibits the consummation of the Merger.
