Absence of Labor Disputes. No labor dispute with the employees of the Company, any Subsidiary or Holdings III exists or, to the knowledge of the Company, is imminent, and the Company is not aware of any existing or imminent labor disturbance by the employees of any of its Subsidiaries or Holdings III, principal operators, contractors, suppliers or customers, which, in any such case, would result in a Material Adverse Change. The Company is not aware that any key employee or significant group of employees of the Company, any Subsidiary or Holdings III plans to terminate employment with the Company or such Subsidiary or Holdings III.
