Absence of Labor Disputes. No labor dispute with the employees of the Issuer or any of its Subsidiaries exists or, to the knowledge of the Issuer, is threatened that, if such dispute were to occur, in either case may reasonably be expected to result in a Material Adverse Effect, and the Issuer has no actual knowledge of any existing or imminent labor disturbance by the employees of the Issuer's or its Subsidiaries' principal suppliers, contractors or customers that could reasonably be expected to result in a Material Adverse Effect.
