Acceleration of Holdings Guaranty. Holdings agrees that, in the event of the occurrence of an Event of Default described under Section 8.1.9 with respect to either Borrower, and if such event shall occur at a time when any of the Obligations of such Borrower and each other Obligor may not then be due and payable, Holdings agrees that it will pay to the Administrative Agents for the account of the Secured Parties forthwith the full amount which would be payable under the guaranty set forth in this Article IX by Holdings if all such Obligations were then due and payable.

Acceleration of Holdings Guaranty. Holdings agrees that, in the event of the dissolution or insolvency of either Borrower, any other Obligor or Holdings, or the inability or failure of either Borrower, any other Obligor or Holdings to pay debts as they become due, or an assignment by either Borrower, any other Obligor or Holdings for the benefit of creditors, or the commencement of any case or proceeding in respect of either Borrower, any other Obligor or Holdings under any bankruptcy, insolvency or similar laws, and if such event shall occur at a time when any of the monetary Obligations of each Borrower and each other Obligor may not then be due and payable, Holdings agrees that it will pay to the Administrative Agent for the account of the Secured Parties forthwith the full amount which would be payable under the guaranty set forth in this ARTICLE X by Holdings if all such monetary Obligations were then due and payable.
