Acceptance by Assignee. By its execution of this Agreement, Assignee Lender hereby irrevocably purchases, assumes and accepts such assignment and delegation and agrees to be a Lender with respect to the delegated interest under the Loan Documents and to be bound by the terms and conditions thereof. By its execution of this Agreement, Assignor Lender agrees, to the extent provided herein, to relinquish its rights and be released from its obligations and duties under the Credit Agreement.
Acceptance by Assignee. By execution of this General Assignment, Assignee does hereby accept the estate herein created and agrees to faithfully perform its duties according to the best of Assignee’s skill, knowledge, and ability in accordance with applicable law. It is understood that Assignee shall receive reasonable compensation for its services in connection with the administration of the Secure Transfusion Assignment Estate. Reasonable compensation does not replace or subsume the reimbursement of all of Assignee’s expenses incurred as a result of the administration of the Secure Transfusion Assignment Estate from the proceeds generated therefrom.
Acceptance by Assignee. Subject to the terms of the PSA, as of immediately prior to the Closing, Assignee does hereby accept the assignment, transfer and conveyance of the Assets, assume any and all of Assignor’s duties and obligations and all Damages with respect to the Assets, and agrees to be bound by all express and implied covenants, rights, benefits, conditions, obligations, and liabilities with respect to the Assets.
Acceptance by Assignee. Assignee accepts the Assignment and all rights accruing to it under the Purchase Agreement, and assumes and agrees to perform all covenants and obligations of the Assignor under the Purchase Agreement, from and after the Effective Date.
Acceptance by Assignee. The assignee in the above and foregoing assignment, made subject to the approval of the Secretary of the Interior, hereby accepts such assignment and agrees to fulfill all the obligations, conditions, and stipulations in said described indenture of lease, when assigned, and the rules and regulations of the Secretary of the Interior, so far as applicable thereto and to furnish proper bond guaranteeing a faithful compliance with said lease and this assignment In Witness whereof, the said assignee hereunto set hand and seal the day of , 20 ATTEST: Secretary (SEAL)
Acceptance by Assignee. Assignee hereby accepts such assignment and assumes and agrees to perform when due the obligations of Assignor under the Merger Agreement.
Acceptance by Assignee. Assignee: (a) accepts the assignment of all of Assignor's right, title and interest in and to the Assigned Interest; and (b) agrees to be bound by all of the terms, covenants, and conditions of this Agreement.
Acceptance by Assignee. IN CONSIDERATION of the above assignment and the written consent of the Lessor thereto, the undersigned hereby assumes and agrees to keep and perform all the covenants, promises, conditions, and agreements of the within lease by the Lessee therein to be kept and performed, and to make all payments provided by said lease from and after the date hereof, and agrees that no further assignment or sub-letting of the premises described in said lease or any part thereof, will be made except in the manner therein described.
