Obligations and Duties. 3.1 We and you will each abide by the terms set out in this Membership Agreement.

Guarantor absolutely, irrevocably and unconditionally guaranties to Arden the full and punctual payment and performance of all obligations and liabilities of Company under the Amended Lease, and to reimburse Arden for its costs and expenses incurred in enforcing the Amended Lease and/or this Guaranty, including but not limited to, attorneys’ fees and other legal expenses, all whether presently existing or hereafter arising (the “Obligations”).

The foregoing, however, shall not preclude the Employee from engaging in appropriate civic, charitable or religious activities or from devoting a reasonable amount of time to private investments, writing of books, journals and/or articles, and making public appearances or from serving on the boards of directors of other entities, as long as such activities and service do not interfere or conflict with his responsibilities to the Company and do not represent business conflicts with the Company's business.

In particular all project partners shall submit twice a year a fi- nancial report of their expenditures before 15 August and 15 February in respect of the Lead Partner’s obligation to submit the progress report to the Joint Technical Secretariat on 1 October and 1 April • notify the Lead Partner immediately of any event that could lead to a temporary or final discontinuation or any other deviation of the project • produce all documents required for audit purposes, especially provide necessary informa- tion and give access to its business premises to all relevant authorised audit bodies • retain at all times for audit purposes all files, documents and data about the part of the project for which it is responsible on customary data storage media in a safe and orderly manner for a minimum period of 3 years after the payment of the final balance by the European Commission to the “INTERREG IVC” programme.
