Implied Covenants. There are no implied covenants contained in this Agreement other than those of good faith and fair dealing.
Implied Covenants. The following provisions of the Law of Property (Miscellaneous Provisions) Xxx 0000 will not apply to Clause 3.1 (Assignment) or Clause 3.2 (Notice of Assignment):
Implied Covenants. The only implied covenants in this Agreement are those of good faith and fair dealing.
Implied Covenants. By entering into this Agreement, the Parties acknowledge and accept that this Agreement includes the covenant of good faith and fair dealing. Furthermore, the Parties agree that the responsibilities and duties set forth herein are to be completed in a professional manner and in accordance with applicable professional standards.
Implied Covenants. The implied covenants of good faith and fair dealing are the only implied covenants in this Agreement. No other implied covenants recognized under applicable Law shall be valid or enforceable with respect to this Agreement.

In deliberating matters before the Board, each Director will act in good faith and in the best interests of the Company provided that he or she may also consider the interests of the Shareholder that nominated such Director.
Implied Covenants. There are no implied covenants (including without limitation any implied covenants relating to the conduct of Exploration, Development, Mining or other activities upon or with respect to the Properties) contained in this Agreement other than those of good faith and fair dealing.
Implied Covenants. Neither payment of bonus, rental, royalties nor compliance with any other covenant or condition of this lease shall relieve the LESSEE from any obligation expressed in this lease or implied by law unless this lease expressly so relieves the LESSEE.

This Lease constitutes and expresses the entire agreement between the parties and no implied covenant of any kind shall be read into it and in particular there shall not be read into it any implied covenant requiring Lessee to commence or to continue to conduct more drilling or other operations on the leased land or to drill more xxxxx thereon or fixing any greater measure of diligence than Lessee has herein expressly agreed to.
Implied Covenants. The only implied covenants in this Agreement are those of good faith and fair dealing. This Agreement is not intended to benefit any third-party, nor any class of third-party beneficiaries.
