Acceptance by Order Acknowledgment. B&L will provide a written acknowledgment, either confirming the Finn Order or stating any mutually agreed upon changes to the Firm Ordxx. Subject to the terms of Section 2.3, unless otherwise agreed in writing by the parties, B&L shall use reasonable commercial efforts to deliver the amount of Product set forth in the Firm Order within ninety (90) days of receipt of the Firm Order. Except in the event of Force Majeure, if B&L fails to fulfill a confirmed Firm Order as set forth in this Section, the remainder of such order shall be delivered in the next month at a five percent (5%) discount on the previously undelivered units. In the event of any conflict between the terms of this Agreement and any purchase order or acknowledgement form, the terms of this Agreement shall control. B&L may ship up to ten percent (10%) over or under by SKU in any order, but B&L shall invoice Unilens at the actual number of units shipped. The ten percent (10%) variance shall not make Unilens eligible for the five percent (5%) discount.

Acceptance by Order Acknowledgment. BLP will deliver to AHC a written order acknowledgment form within 30 days of BLP's receipt of each rolling forecast, confirming the quantities of which BLP shall exercise commercially reasonable efforts to fill. Only those quantities of AHC's firm three-month purchase order confirmed by BLP in its written order acknowledgment shall be binding on BLP.
Acceptance by Order Acknowledgment. B&L will deliver to AERIE a written order acknowledgment form within seven (7) business days of B&L’s receipt of a purchase order, confirming the quantities, price and delivery date of which B&L shall fill. Only those quantities of AERIE’s firm order confirmed by B&L in its written order acknowledgment shall be binding on B&L. In the event B&L is unable to supply Product(s), such volume of product not supplied shall be deducted from the Minimum Annual Quantity.

  • Trust Account Waiver Acknowledgment The Company will seek to have all vendors, service providers (other than independent accountants), prospective target businesses or other entities with which it does business enter into agreements waiving any right, title, interest or claim of any kind in or to any monies held in the Trust Account for the benefit of the Public Shareholders. If a prospective target business or vendors, service providers or third party were to refuse to enter into such a waiver, management will perform an analysis of the alternatives available to it and will only enter into an agreement with a third party that has not executed a waiver if management believes that such third party’s engagement would be significantly more beneficial than any alternative.

The foregoing letters shall substantially be in the form attached hereto as Exhibits A and B respectively. The Company may forego obtaining such waivers only if the Company shall have received the approval of its Chief Executive Officer and the approving vote of at least a majority of its Board of Directors.
