Common use of Acceptance of Employment; Standard of Performance Clause in Contracts

Acceptance of Employment; Standard of Performance. The Subadviser accepts its employment as a discretionary adviser of the Managed Asset Portion and agrees, subject to the oversight of the Board of Directors of the Fund (the “Board”) and the Adviser, to use its best professional judgment to make investment decisions for the Managed Asset Portion in accordance with the provisions of this Agreement and as set forth in Schedule D attached hereto and made a part hereof. The Subadviser shall for all purposes herein be deemed to be an independent contractor and shall, except as expressly provided or authorized (whether herein or otherwise), have no authority or obligation to act for or represent the Adviser or the Fund in any way.

The Subadviser accepts its employment as a discretionary series adviser of the Managed Asset Allocated Portion of the Fund and agrees, subject to the oversight of the Board of Directors of the Fund (the “Board”) and the Adviser, to use its best professional judgment to make investment decisions for the Managed Asset Allocated Portion of the Fund in accordance with the provisions of this Agreement and as set forth in Schedule D attached hereto and made a part hereof. The Subadviser shall for all purposes herein be deemed to be an independent contractor and shall, except as expressly provided or authorized (whether herein or otherwise), have no authority or obligation to act for or represent the Adviser or the Fund in any way.

The Subadviser accepts its employment as a discretionary adviser of the Managed Asset Allocated Portion of the Series and agrees, subject to the oversight of the Board of Directors Trustees of the Fund Trust (the “Board”) and the Adviser, to use its best professional judgment to make investment decisions in its role as a professional investment adviser for the Managed Asset Allocated Portion of the Series in accordance with the provisions of this Agreement and as set forth in Schedule D attached hereto and made a part hereof. The Subadviser shall for all purposes herein be deemed to be an independent contractor and shall, except as expressly provided or authorized (whether herein or otherwise), have no authority or obligation to act for or represent the Adviser Adviser, the Trust or the Fund Series in any way.

The Subadviser shall for all purposes herein be deemed to be an independent contractor and shall, except as expressly provided or authorized (whether herein or otherwise), have no authority or obligation to act for or represent the Adviser or the Fund in any way.
