Common use of Acceptance/Payment Clause in Contracts

Acceptance/Payment. Unless otherwise agreed to in writing by County, 1) acceptance shall not be deemed complete unless in writing and until all the goods/services have actually been received, inspected, and tested to the satisfaction of County, and 2) payment shall be made in arrears after satisfactory acceptance. Notwithstanding the foregoing, no new or replacement System, Hardware or Software shall be placed into production until written acceptance for such System, Hardware or Software is provided by County and received by Contractor.

Notwithstanding the foregoingreceipt of a proper invoice as detailed in Attachment B, no new or replacement System, Hardware or Software shall be placed into production until written acceptance for such System, Hardware or Software is provided by County and received by ContractorCost/Compensation.

Notwithstanding accordance with the foregoingrequirements in Attachment B, no new or replacement System, Hardware or Software shall be placed into production until written acceptance for such System, Hardware or Software is provided by County and received by ContractorCompensation & Pricing.

Notwithstanding the foregoingabove, no new or replacement Systemif Contractor does not receive written notice that the goods/servcies have been rejected within thirty (30) days of the County’s receipt, Hardware or Software shall the goods/services will be placed into production until written acceptance for such System, Hardware or Software is provided by County and received by Contractordeemed accepted.
