Access to Information and Facilities; Confidentiality. (a) From and after the date of this Agreement, WLS shall allow URM and its representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of the WLS and the Subsidiaries and shall make the officers and employees of the WLS and the Subsidiaries available to URM and its representatives as URM or its representatives shall from time to time reasonably request. URM and its representatives shall be furnished with any and all information concerning WLS and the Subsidiaries, which URM or its representatives reasonably request and can be obtained by WLS without unreasonable effort or expense.
Access to Information and Facilities; Confidentiality. (a) From and after the date of this Agreement, Target shall allow Orion and its representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of Target and shall make the officers and employees of Target available to Orion and its representatives as Orion or its representatives shall from time to time reasonably request. Orion and its representatives shall be furnished with any and all information concerning Target, which Orion or its representatives reasonably request.
Access to Information and Facilities; Confidentiality. (a) From and after the date of this Agreement, Rennova and Myrtle shall allow FOXO and its representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of Myrtle and shall make the officers and employees of Myrtle available to FOXO and its representatives as such party or its representatives shall from time to time reasonably request. FOXO and its representatives shall be furnished with any and all information concerning Myrtle, which FOXO or its representatives reasonably request and can be obtained by Rennova or Myrtle without unreasonable effort or expense.

(a) From and after the date of this Agreement, Rennova and RCHI shall allow FOXO and its representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of RCHI and BSF and shall make the officers and employees of RCHI and BSF available to FOXO and its representatives as such party or its representatives shall from time to time reasonably request. FOXO and its representatives shall be furnished with any and all information concerning RCHI and BSF, which FOXO or its representatives reasonably request and can be obtained by Rennova or RCHI without unreasonable effort or expense.

(a) From and after the date of this Agreement, UCMC and the Shareholder shall allow PSMH and PSMI and their representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of UCMC and shall make the officers and employees of UCMC available to PSMH and PSMI and their representatives as either party or its representatives shall from time to time reasonably request. PSMH and PSMI and their representatives shall be furnished with any and all information concerning UCMC, which PSMH or PSMI or their representatives reasonably request and can be obtained by UCMC without unreasonable effort or expense.
Access to Information and Facilities; Confidentiality. (a) From the date of this Agreement to the earlier of the Closing Date and the date this Agreement is terminated, subject to the Confidentiality Agreement, the Company shall give Buyer and its Representatives, upon reasonable notice, reasonable access during normal business hours to the offices, facilities, books and records of the Company and the Subsidiaries, and shall make the officers and employees of the Company and the Subsidiaries available to Buyer and its Representatives as Buyer and its Representatives shall from time to time reasonably request, in each case to the extent that such access and disclosure would not obligate the Company or any of the Subsidiaries to take any actions that would unreasonably disrupt the normal course of their businesses or violate any applicable Law or regulation; provided, that all requests for access shall be directed to [***] in writing (the “Designated Contacts”); provided, however, that nothing herein *** Certain information on this page has been omitted and filed separately with the Securities and Exchange Commission. Other than the Designated Contacts or as expressly provided herein, Buyer is not authorized to and shall not (and shall cause its employees, agents, Representatives and Affiliates to not) contact any franchisee, customer, supplier, distributor, lender or other material business relation of Sellers, the Company or the Subsidiaries to discuss the transactions contemplated hereby prior to the Closing without the prior written consent of a Designated Contact.

Desert Hawk and its representatives shall be furnished with any and all information concerning Target, which Desert Hawk or its representatives reasonably request and can be obtained by Target without unreasonable effort or expense.

(a) From and after the date of this Agreement, Brookside and the Members shall allow PSMH and UCMC and their representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of Brookside and shall make the officers and employees of Brookside available to PSMH and UCMC and their representatives as either party or its representatives shall from time to time reasonably request. PSMH and UCMC and their representatives shall be furnished with any and all information concerning Brookside, which PSMH or UCMC or their representatives reasonably request and can be obtained by Brookside without unreasonable effort or expense.

(a) From and after the date of this Agreement, JLLM and the Shareholder shall allow CMT and its representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of JLLM and shall make the officers and employees of JLLM available to CMT and the Merger Sub and their representatives as either party or its representatives shall from time to time reasonably request. CMT and its representatives shall be furnished with any and all information concerning JLLM, which CMT or its representatives reasonably request and can be obtained by JLLM without unreasonable effort or expense.

(a) From and after the date of this Agreement, Target shall allow Alynx and its representatives access during normal business hours to all of the facilities, properties, books, Contracts, commitments and records of the Target Parties and shall make the officers and employees of the Target Parties available to Alynx and its representatives as Alynx or its representatives shall from time to time reasonably request. Alynx and its representatives shall be furnished with any and all information concerning the Target Parties, which Alynx or its representatives reasonably request and can be obtained by Target without unreasonable effort or expense.
