Common use of Access to Personnel and Books and Records Clause in Contracts

Access to Personnel and Books and Records. Novelis shall authorize Novelis's Auditors to make available to Alcan's Auditors both the personnel who performed or are performing the annual audits of Novelis and work papers related to the annual audits of Novelis, in all cases within a reasonable time prior to Novelis's Auditors' opinion date, so that Alcan's Auditors are able to perform the procedures they consider necessary to take responsibility for the work of Novelis's Auditors as it relates to Alcan's Auditors' report on Alcan's financial statements, all within sufficient time to enable Alcan to meet its timetable for the printing, filing and public dissemination of Alcan's annual financial statements. Similarly, Alcan shall authorize Alcan's Auditors to make available to Novelis's Auditors both the personnel who performed or are performing the annual audits of Alcan and work papers related to the annual audits of Alcan, in all cases within a reasonable time prior to Alcan's Auditors' opinion date, so that Novelis's Auditors are able to perform the procedures they consider necessary to take responsibility for the work of Alcan's Auditors as it relates to Novelis's Auditors' report on Novelis's financial statements, all within sufficient time to enable Novelis to meet its timetable for the printing, filing and public dissemination of Novelis's annual financial statements. Novelis shall make available to Alcan's Auditors and Alcan's management Novelis' personnel and Novelis books and records in a reasonable time prior to Alcan's Auditors' opinion date and Alcan's management's assessment date so that Alcan's Auditors and Alcan's management are able to perform the procedures they consider necessary to conduct the 2004 Internal Control Audit and Management Assessments.

Novelis Expedia shall authorize Novelis's Expedia’s Auditors to make available to Alcan's IAC’s Auditors both the personnel who performed or are performing the annual audits of Novelis Expedia and work papers related to the annual audits of NovelisExpedia, in all cases within a reasonable time prior to Novelis's Expedia’s Auditors' ’ opinion date, so that Alcan's IAC’s Auditors are able to perform the procedures they consider necessary to take responsibility for the work of Novelis's Expedia’s Auditors as it relates to Alcan's IAC’s Auditors' ’ report on Alcan's IAC’s financial statements, all within sufficient time to enable Alcan IAC to meet its timetable for the printing, filing and public dissemination of Alcan's IAC’s annual financial statements. Similarly, Alcan IAC shall authorize Alcan's IAC’s Auditors to make available to Novelis's Expedia’s Auditors both the personnel who performed or are performing the annual audits of Alcan IAC and work papers related to the annual audits of AlcanIAC, in all cases within a reasonable time prior to Alcan's IAC’s Auditors' ’ opinion date, so that Novelis's Expedia’s Auditors are able to perform the procedures they consider necessary to take responsibility for the work of Alcan's IAC’s Auditors as it relates to Novelis's Expedia’s Auditors' ’ report on Novelis's Expedia’s financial statements, all within sufficient time to enable Novelis Expedia to meet its timetable for the printing, filing and public dissemination of Novelis's Expedia’s annual financial statements. Similarly, Alcan Expedia shall authorize Alcan's Expedia’s Auditors to make available to Novelis's TripAdvisor’s Auditors both the personnel who performed or are performing the annual audits of Alcan Expedia and work papers related to the annual audits of AlcanExpedia, in all cases within a reasonable time prior to Alcan's Expedia’s Auditors' ’ opinion date, so that Novelis's TripAdvisor’s Auditors are able to perform the procedures they consider necessary to take responsibility for the work of Alcan's Expedia’s Auditors as it relates to Novelis's TripAdvisor’s Auditors' ’ report on Novelis's TripAdvisor’s financial statements, all within sufficient time to enable Novelis TripAdvisor to meet its timetable for the printing, filing and public dissemination of Novelis's TripAdvisor’s annual financial statements. Novelis TripAdvisor shall make available to Alcan's Expedia’s Auditors and Alcan's Expedia’s management Novelis' TripAdvisor’s personnel and Novelis TripAdvisor books and records in a reasonable time prior to Alcan's Expedia’s Auditors' ’ opinion date and Alcan's Expedia’s management's ’s assessment date so that Alcan's Expedia’s Auditors and Alcan's Expedia’s management are able to perform the procedures they consider necessary to conduct the 2004 2011 Internal Control Audit and Management Assessments.
