Access to Properties, Books, Etc. Each party hereto shall allow the other party and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of the respective properties, books, contracts, commitments and records of such party and its subsidiaries and shall furnish the other party and its authorized representatives such information concerning its affairs and the affairs of its subsidiaries as the other party may reasonably request provided that such request shall be reasonably related to the transactions contemplated by this Agreement and shall not interfere unreasonably with normal operations. Each party shall cause its and its subsidiaries’ personnel, employees and other representatives to assist the other party in making any such investigation. During such investigation, the investigating party and its authorized representatives shall have the right to make copies of such records, files, tax returns and other materials as it may deem advisable and shall advise the other party of those items of which copies are made. No investigation made heretofore or hereafter by either party and its authorized representatives shall affect the representations and warranties of either such party hereunder.
Access to Properties, Books, Etc. Genesis shall allow JWCFS and its authorized Representatives full access during normal business hours to all of the properties, books, contracts, commitments, and records of Genesis, and shall furnish JWCFS or its authorized Representatives such information concerning the affairs as may reasonably be requested.
Access to Properties, Books, Etc. Seller shall allow Buyer and its authorized representatives full access, upon reasonable prior notice, during normal business hours from and after the date hereof and prior to the Closing Date to all of Seller’s properties, books, contracts, commitments and records and those of its subsidiaries and shall furnish Buyer and its authorized representatives such information concerning its affairs and the affairs of its subsidiaries as Buyer may reasonably request, provided that such request shall be reasonably related to the transactions contemplated by this Agreement and shall not interfere unreasonably with normal operations. Seller shall cause its and its subsidiaries’ personnel, employees and other representatives to assist Buyer in making any such investigation. During such investigation, Buyer and its authorized representatives shall have the right to make copies of such records, files, tax returns and other materials as it may deem advisable and shall advise Seller of those items of which copies are made. No investigation made heretofore or hereafter by Buyer and its authorized representatives shall affect the representations and warranties of Seller hereunder.

Tidelands shall allow United and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of Tidelands’ properties, books, contracts, commitments and records and those of its subsidiaries and shall furnish United and its authorized representatives such information concerning its affairs and the affairs of its subsidiaries as United may reasonably request provided that such request shall be reasonably related to the transactions contemplated by this Agreement and shall not interfere unreasonably with normal operations. Tidelands shall cause its and its subsidiaries’ personnel, employees and other representatives to assist United in making any such investigation. During such investigation, United and its authorized representatives shall have the right to make copies of such records, files, tax returns and other materials as it may deem advisable and shall advise Tidelands of those items of which copies are made. No investigation made heretofore or hereafter by United and its authorized representatives shall affect the representations and warranties of Tidelands.

American shall allow FNB and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of its respective properties, books, contracts, commitments and records, and shall furnish FNB and its authorized representatives such information concerning its affairs as FNB may reasonably request provided that such request shall be reasonably related to the transactions contemplated by this Agreement and shall not interfere unreasonably with normal operations. American shall cause its personnel, employees and other representatives to assist FNB in making any such investigation. During such investigation, FNB and its authorized representatives shall have the right to make copies of such records, files, tax returns and other materials as it may deem advisable and shall advise American of those items of which copies are made. No investigation made heretofore or hereafter by FNB and its authorized representatives shall affect the representations and warranties of American hereunder.

GCG shall allow the United and its authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of GCG’s properties, books, contracts, commitments and records and those of its subsidiaries and shall furnish the United and its authorized representatives such information concerning its affairs and the affairs of its subsidiaries as United may reasonably request provided that such request shall be reasonably related to the transactions contemplated by this Agreement and shall not interfere unreasonably with normal operations. GCG shall cause its and its subsidiaries’ personnel, employees and other representatives to assist United in making any such investigation. During such investigation, United and its authorized representatives shall have the right to make copies of such records, files, tax returns and other materials as it may deem advisable and shall advise GCG of those items of which copies are made. No investigation made heretofore or hereafter by either party and its authorized representatives shall affect the representations and warranties of either such party hereunder.
Access to Properties, Books, Etc. SCTC shall allow Fidelity and its authorized representatives full access during normal business hours to all of the properties, books, contracts, commitments and records of SCTC and each of the SCTC Subsidiaries and shall furnish Fidelity such information concerning its affairs as may reasonably be requested. No investigation made heretofore or hereafter by Fidelity shall affect the representations and warranties of SCTC.
Access to Properties, Books, Etc. Cumberland and Community shall allow Heritage and Liberty and their authorized representatives full access during normal business hours from and after the date hereof and prior to the Closing Date to all of the respective properties, books, contracts, commitments and records of or pertaining to Cumberland and shall furnish to Heritage and Liberty and their authorized representatives such information concerning Community's affairs and the affairs of its subsidiaries, which is reasonably related to the transactions contemplated by this Agreement. Cumberland and Community shall cause their respective personnel, employees and other representatives to assist Heritage and Liberty in making any such investigation. During such investigation, Liberty and Heritage and their authorized representatives, subject to Section 3.3, shall have the right to make copies of such records, files, tax returns and other materials as it may deem advisable. No investigation made heretofore or hereafter by Liberty and Heritage and their authorized representatives shall affect the representations and warranties of either such party hereunder.
Access to Properties, Books, Etc. NetSat shall allow EMS and its authorized representatives full access during normal business hours to all of its properties, books, contracts, commitments and records, and shall furnish EMS or its authorized representatives such information concerning its affairs as may reasonably be requested. However, no investigation made heretofore or hereafter by EMS shall affect the representations and warranties of NetSat and Nation Net.
Access to Properties, Books, Etc. Adairsville shall --------------------------------- allow United and its authorized representatives reasonable access during normal business hours from and after the date hereof and prior to the Closing Date to all of the respective properties, books, contracts, commitments and records of Adairsville and its subsidiaries and shall furnish United and its authorized representatives such information concerning its affairs and the affairs of its subsidiaries as United may reasonably request provided that such request shall be reasonably related to the transactions contemplated by this Agreement and shall not interfere unreasonably with normal operations. Adairsville shall require its personnel to assist United in making any such investigation and shall cause the counsel (subject to attorney- client privilege), accountants, employees and other representatives of Adairsville to be available to United for such purposes. Such investigation will be conducted in a manner designed to be the least disruptive of the affairs of Adairsville as possible. During such investigation, United and its authorized representatives shall have the right, subject to the confidentiality provisions of this Agreement, to make copies of such records, files, tax returns and other materials as it may deem advisable and shall advise Adairsville of those items of which copies are made. No investigation made heretofore or hereafter by either party and its authorized representatives shall affect the representations and warranties of either such party hereunder.
