Each of the Accounts, Chattel Paper, Contracts and Instruments constituting Secured Property is genuine and bona fide and the amount represented thereunder from time to time as owing to the Grantor, unless disclosed in writing by the Guarantor to the Agent, will be owed free of any dispute, set-off or counterclaim, and, to the Grantor’s knowledge, enforceable in accordance with its terms against the applicable Account Debtor or counterparty;
