Account Overlaps Sample Clauses
The Account Overlaps clause defines how situations are handled when multiple accounts or relationships between the same parties overlap or exist simultaneously. In practice, this clause typically outlines which account terms take precedence, how obligations are managed across overlapping accounts, and may specify procedures for consolidating or distinguishing between such accounts. Its core function is to prevent confusion or disputes by clarifying the rights and responsibilities of each party when more than one account is involved, ensuring clear management and allocation of obligations.
Account Overlaps. It allows the Customer and the Trusted Business Partner to share lists of selected Account Overlaps. Eg. the list of common customers, Customer’s prospects that are the Trusted Business Partner’s customers, etc. Both parties can restrict the Account Overlaps they are giving access to, and the Processed CRM Data they are giving access to. Eg. The customer can define accounts that will never be shared with any partners (“Private Accounts”), or accounts that will not be shared with specific partners (“Restricted Accounts”). These are Processed CRM Data of selected Accounts Overlaps (Account name, Account status, Account owner, etc.). Contact data of prospects and customers such as Name, Email, Phone, can not be shared, except for the Job title.
Account Overlaps. (a) A committee consisting of ▇▇▇▇▇ ▇▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ (collectively, the "NGG Group") and ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ (together, the "RB Group") will review all customer accounts which, as of the Sharing Commencement Date, are serviced by both the NGG Group and the RB Group and shall allocate such accounts as follows:
(i) to the NGG Group;
(ii) to the RB Group; or
(iii) to a joint account to be shared equally by the NGG Group and the RB Group.
(b) Customer accounts other than those referred to in Section 2.3(a) which, as of the Sharing Commencement Date, are serviced by registered representatives of both RPII and GBI shall be awarded to one or the other of such representatives by a committee initially consisting of ▇▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, who shall make their determination in accordance with current policies of GBI consistently applied.
