Accretion and Interest. Pursuant to Section 3.10 of the Indenture, commencing on the Issue Date to, but not including, October 1, 2017, principal shall accrete on the principal amount of this Note, compounded semi-annually, at a rate equal to 2.00% per annum. The Accreted Principal Amount per $1,000 Original Principal Amount is set forth on Annex I attached hereto. The Company, promises to pay interest on the Original Principal Amount of this Note at the rate of 5.00% per annum until (but excluding) October 1, 2032. The Company will pay interest on the Original Principal Amount of Notes semiannually in arrears on April 1 and October 1 of each year (each, an “Interest Payment Date”), commencing April 1, 2014, to Holders of record on the immediately preceding March 15 and September 15. Interest will not accrue on any principal accreted to the Original Principal Amount of the Notes pursuant to Section 3.10 of the Third Supplemental Indenture. Interest on the Original Principal Amount of Notes will accrue from the most recent date to which interest has been paid on the Notes or, if no interest has been paid, from August 26, 2013. Interest will be computed on the basis of a 360-day year of twelve 30-day months.

Accretion and Interest. Pursuant to Section 2.12 of the Indenture, principal shall accrete on the principal amount of this Note, compounded semi-annually, at a rate equal to 1.85% per annum. The Accreted Principal Amount per $1,000 Original Principal Amount is set forth on Annex I attached hereto. Ciena Corporation, a Delaware corporation (the “Company”), promises to pay interest on the Original Principal Amount of this Note at 4.0% per annum from December 27, 2012 until Stated Maturity. The Company will pay interest in respect of the Original Principal Amount semi-annually in arrears on June 15 and December 15 of each year (subject to limited exceptions if the Note is converted or purchased prior to such date), or if any such day is not a Business Day, on the immediately following Business Day (each, an “Interest Payment Date”). Interest on the Notes will accrue on the Original Principal Amount from the most recent date to which interest has been paid or, if no interest has been paid, from December 27, 2012; provided that if there is no existing Default in the payment of interest, and if this Note is authenticated between a Regular Record Date (as defined below) and the next succeeding Interest Payment Date, interest shall accrue on the Original Principal Amount from such next succeeding Interest Payment Date; provided, further, that the first Interest Payment Date shall be June 15, 2013. The Company will pay interest on overdue principal from time to time on demand at the rate then in effect to the extent lawful; it will pay interest on overdue installments of interest, if any (without regard to any applicable grace periods), from time to time on demand at the same rate to the extent lawful. Interest will be computed on the basis of a 360-day year of twelve 30-day months. All references to “interest” in this Note are deemed to include Additional Interest, if any, payable pursuant to Section 7.01 of the Indenture, as applicable.
Accretion and Interest. (a) The initial Accreted Value of the Notes will increase on a daily basis commencing on the Funding Date at the rate of 6% per annum (based on a 360-day year of twelve 30-day months) compounded quarterly on each Accretion Calculation Date until the Maturity Date.

A fee may be charged by the Indenture Trustee to a Noteholder of Definitive Notes for any payment made by wire transfer. Any installment of interest or principal not punctually paid or duly provided for shall be payable as soon as funds are available to the Indenture Trustee for payment thereof, or if Section 5.07 applies, pursuant to Section 5.07.

  • Late Charge and Interest Tenant acknowledges that late payment by Tenant to Landlord of Fixed Monthly Rent or Additional Rent will cause Landlord to incur costs not contemplated by this Lease, the exact amount of which are extremely difficult and impracticable to fix. Such costs include, without limitation, processing and accounting charges and late charges that may be imposed on Landlord by the terms of any encumbrance and note secured by any encumbrance covering the Premises. Therefore, if any installment of Fixed Monthly Rent or Additional Rent and other payment due from Tenant hereunder is not received by Landlord within seven (7) business days of the date it becomes due, Tenant shall pay to Landlord on demand an additional sum equal to five percent (5%) of the overdue amount as a late charge. The parties agree that this late charge represents a fair and reasonable settlement against the costs that Landlord will incur by reason of Xxxxxx’s late payment. Acceptance of any late charge shall not constitute a waiver of Tenant’s default with respect to the overdue amount, or prevent Landlord from exercising any of the other rights and remedies available to Landlord. Every installment of Fixed Monthly Rent and Additional Rent and any other payment due hereunder from Tenant to Landlord which is not paid within twelve (12) days after the same becomes due and payable shall, in addition to any Late Charge already paid by Tenant, bear interest at the rate of ten percent (10%) per annum from the date that the same originally became due and payable until the date it is paid. Landlord shall xxxx Xxxxxx for said interest, and Tenant shall pay the same within five (5) days of receipt of Landlord’s billing. Notwithstanding the foregoing, Tenant shall not be assessed any late charge for the first late payment in each twelve (12) month period of the Term so long as Tenant pays such amount within five (5) business days of Tenant’s receipt of written notice from Landlord that such amount has not been paid.
