Accuracy as of Closing Date. All warranties and representations of Sellers in this Agreement will, on the Closing Date, be true and complete on and as of the Closing Date.
Accuracy as of Closing Date. Disclosure. The representations and warranties made in this Agreement will be true and correct in all material respects on the Closing Date with the same force and effect as if such representations and warranties had been made on and as of the Closing Date. To the best of Shareholders’ knowledge, no representation or warranty or other statement made by Seller in this Agreement contains any untrue statement or omits to state a material fact necessary to make any of them, in light of the circumstances in which it was made, not misleading.
