Accuracy of Information Regarding Selling Stockholder. Selling Stockholder has reviewed the Registration Statement and the Prospectuses, and such parts of the Registration Statement and the Prospectuses comprising information which specifically relates to Selling Stockholder did not, at the date the Registration Statement became effective, contain any untrue statement of a material fact regarding the Selling Stockholder or omit to state a material fact regarding the Selling Stockholder required to be stated therein or necessary to make the statements therein not misleading and, at the date of the Prospectuses, did not contain any untrue statement of a material fact regarding the Selling Stockholder or omit to state any material fact regarding the Selling Stockholder required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they are made, not misleading.

Accuracy of Information Regarding Selling Stockholder. The information set forth in the Registration Statement in the chart on page 123 thereof under the caption "Selling Stockholders" which specifically relates to such Participating Selling Stockholder did not, at the date the Registration Statement became effective, contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein not misleading, and the information set forth in the Basic Prospectus in the chart on page 123 thereof under the caption "Selling Stockholders" and the Prospectus Supplement under the caption "Participating Selling Stockholders" which specifically relates to such Participating Selling Stockholder (as to each Participating Selling Stockholder, the "Participating Selling Stockholder Information"), at the date hereof and on each Delivery Date, does not and will not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements therein, in light of the circumstances under which they are made, not misleading.
