Common use of Accuracy of Information Clause in Contracts

Accuracy of Information. All information heretofore furnished by the Seller to the Trust or its successors and assigns or to the Noteholders pursuant to or in connection with any Basic Document or any transaction contemplated thereby is, and all such information hereafter furnished by the Seller will be, true and accurate in every material respect on the date such information is stated or certified and does not contain a material misstatement of fact or omit to state a material fact or any fact necessary to make the statements contained therein not misleading.

Accuracy of Information. All information heretofore furnished by the Seller to the Trust or its successors and assigns or to the Noteholders pursuant to or in connection with any Basic Document or any transaction contemplated thereby is, and all such information hereafter furnished by the Seller will be, true and accurate in every material respect on the date such information is stated or certified and does not contain a an material misstatement of fact or omit to state a material fact or any fact necessary to make the statements contained therein not misleading.

Accuracy of Information. All The information heretofore furnished by the Seller, any Seller Entity or any Affiliate of any such Person to the Trust Agent or its successors and assigns or to the Noteholders pursuant to or any Purchaser in connection with any Basic Document Transaction Document, or any transaction contemplated thereby isthereby, and all such information hereafter furnished by the Seller will betaken as a whole, is true and accurate in every all material respect on the date respects (and is not incomplete by omitting any information necessary to prevent such information is stated or certified and does not contain a material misstatement of fact or omit to state a material fact or any fact necessary to make the statements contained therein not from being materially misleading).

All written information heretofore furnished by the Seller it to the Trust Issuer or its successors and assigns or to the Noteholders pursuant to Indenture Trustee for purposes of or in connection with any Basic Document this Agreement or any transaction contemplated thereby ishereby is true, and all such information hereafter furnished by the Seller will be, true complete and accurate in every material respect respect, on the date such information is stated or certified certified, and does not contain no such item contains any untrue statement of a material misstatement of fact or omit omits to state a material fact or any fact necessary in order to make the statements contained therein therein, in the light of the circumstances under which they were made, not misleading.

All To the best knowledge and belief of Seller, as of the date hereof, all information heretofore furnished by or on behalf of the Company or Seller to the Trust or its successors and assigns or to the Noteholders pursuant to or in connection with any Basic Document Purchaser or any transaction of its agents or advisors for purposes of this Agreement or the transactions contemplated thereby ishereby, and all such information hereafter furnished by the Seller will bewhen considered as a whole, is true and accurate in every all material respect on the date such information is stated or certified respects and does not contain a material misstatement of fact or omit incomplete by omitting to state a any material fact or any fact necessary to make the statements contained therein such information not misleading.

All information heretofore furnished by the Seller to the Trust or its successors and assigns or to the Noteholders Class A Insurer pursuant to or in connection with any Basic Document or any transaction contemplated thereby is, and all such information hereafter furnished by the Seller will be, true and accurate in every material respect on the date such information is stated or certified and does not contain a an material misstatement of fact or omit to state a material fact or any fact necessary to make the statements contained therein not misleading.

All information heretofore information, exhibits, financial statements, documents, books, records or other reports furnished or to be furnished at any time by the or on behalf of each Seller to the Trust or its successors and assigns or to the Noteholders pursuant to or Purchaser in connection with any Basic Document the Agreement is or any transaction contemplated thereby is, and all such information hereafter furnished by the Seller will be, true taken as a whole, complete and accurate in every all material respect on respects as of its date or as of the date such information is stated or certified so furnished, and does not contain a material misstatement of fact or and will not omit to state a material fact or any fact necessary in order to make the statements information contained therein therein, in light of the circumstances under which it was provided, not misleading.

All written information heretofore furnished by the or on behalf of such Seller to Buyer, the Trust Servicer or its successors and assigns or to the Noteholders Trustee pursuant to or in connection with any Basic Transaction Document or any transaction contemplated thereby is, and all such information hereafter furnished by the Seller will be, true and accurate in every material respect on the date such information is stated herein or certified and does therein shall not contain any untrue statement of a material misstatement of fact or omit to state a material fact or any fact facts necessary to make the statements contained made therein not misleading, in each case in the light of the circumstances under which the statements were made or the information was furnished.
