Accuracy of Representations; Performance of Covenants. The representations and warranties of the Principals contained in this Agreement shall be true on and as of the Meeting Date with the same effect as though such representations and warranties had been made on and as of such date; each and all of the agreements of the Principals and the Company to be performed on or before the Meeting Date pursuant to the terms hereof shall have been performed; and the Principals shall have delivered to Purchaser a certificate dated the Meeting Date and signed by the Principals to all such effects.
Accuracy of Representations; Performance of Covenants. A certificate dated the Closing Date and signed by Sellers, the truth and accuracy of which shall be a condition to Buyer's obligation to consummate the transactions contemplated herein, to the effect that, other than as described on the Disclosure Schedule, the representations and warranties of Sellers contained in this Agreement (except for factual changes in the information contained in the Disclosure Schedule or attachments hereto occurring after the execution of this Agreement and before Closing, which changes shall be noted on amendments to such information at Closing which are subject to approval by Buyer in its sole and absolute discretion) are true and correct as of the Closing Date, and that Sellers have duly performed or complied with all of the obligations to be performed or complied with by them under the terms of this Agreement on or prior to Closing.

A certificate signed by an officer of Buyer, the truth and accuracy of which shall be a condition to Sellers' obligation to consummate the transactions contemplated herein, to the effect that the representations and warranties of Buyer contained in this Agreement are true and correct as of the Closing Date, and that Buyer has duly performed or complied with all of the obligations to be performed or complied with by it under the terms of this Agreement on or prior to Closing.

The representations and warranties of Sellers contained in this Agreement shall be true on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date; each and all of the agreements of Sellers to be performed on or before the Closing Date pursuant to the terms hereof shall have been performed; and Sellers shall have delivered to Purchasers a certificate dated the Closing Date and signed by Sellers to all such effects.

A certificate signed by an officer of NBC, the truth and accuracy of which shall be a condition to Shareholders' obligation to consummate the transactions contemplated herein, to effect that the representations and warranties of NBC contained in this Agreement are true and correct as of the Closing Date, and that NBC has duly performed or complied with all of the obligations to be performed or complied with by it under the terms of this Agreement on or prior to Closing.
Accuracy of Representations; Performance of Covenants. A certificate signed by an officer of Buyer, the truth and accuracy of which shall be a condition to Seller's obligation to consummate the transactions contemplated herein, to the effect that (i) the representations and warranties of Buyer contained in this Agreement are true and correct as of the Closing Date; provided that Buyer shall list any exceptions to the representation set forth in SECTION 6.3 in said certificate; and (ii) that Buyer has duly performed or complied with all of the obligations to be performed or complied with by it under the terms of this Agreement on or prior to Closing.
Accuracy of Representations; Performance of Covenants and warranties and The representations and warranties of the Vendor and the Shareholder contained in this Agreement or in any documents delivered in order to carry out the transactions contemplated hereby shall be true and accurate on the date hereof and at the Closing Time with the same force and effect as though such representations and warranties had been made as of the Closing Time (regardless of the date as of which the information in this Agreement or in any schedule or other document made pursuant hereto is given). In addition, the Vendor and the Shareholder shall have complied with all covenants and agreements herein agreed to be performed or caused to be performed by them at or prior to the Closing Time. In addition, the Vendor and the Shareholder shall have delivered to the Purchaser a certificate in the form of Schedule "Z" attached hereto confirming that the facts with respect to each of such representations and warranties by the Vendor and the Shareholder are as set out herein at the Closing Time and that the Vendor and the Shareholder have performed all covenants required to be performed by them hereunder.

The representations and warranties of Buyer contained in Article 4 of this Agreement shall be true in all material respects on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date; each and all of the agreements of Buyer to be performed on or before the Closing Date pursuant to the terms hereof shall have been performed in all material respects; and Buyer shall have delivered to BFI a certificate dated the Closing Date so stating that such representations and warranties are true in all material respects, or stating to the extent they are not, and that such agreements have been performed in all material respects, or stating to the extent they have not.
Accuracy of Representations; Performance of Covenants. All representations and warranties of Buyer contained in this Agreement shall be true and correct at and as of the date of this Agreement and at and as of the Closing Date, except as and to the extent that any such representation or warranty expressly relates to an earlier date and except for changes therein permitted or contemplated by this Agreement, and Buyer shall have performed and satisfied all agreements and covenants required hereby to be performed by it prior to or on the Closing Date; and Buyer shall have delivered to Sellers a certificate to such effect, dated as of the Closing Date, signed on behalf of Buyer by the Chief Executive Officer and Chief Financial Officer of Buyer.

A certificate dated the Closing Date and signed by Shareholders, the truth and accuracy of which shall be a condition to NBC's obligation to consummate the transactions contemplated herein, to the effect that, other than as described on the Disclosure Schedule, the representations and warranties of Shareholders contained in this Agreement (except for factual changes in the information contained in the Disclosure Schedule or attachments hereto occurring after the execution of this Agreement and before Closing, which changes shall be noted on amendments to such information at Closing which are subject to approval by NBC in its sole and absolute discretion) are true and correct as of the Closing Date, and that Shareholders have 30 30 duly performed or complied with all of the obligations to be performed or complied with by them under the terms of this Agreement on or prior to Closing.
