Common use of Accuracy of the Records Clause in Contracts

Accuracy of the Records. Sellers make no representations regarding the accuracy or completeness of any of the Records; provided, however, such Seller does represent that (i) the Records include all of the files, or copies thereof, that Seller has used in the ordinary course of operating and owning the Leases, (ii) Seller has made, or prior to Closing will make, all Records in its possession available to Buyer and (iii) Seller has not intentionally withheld any of the Records from Buyer.
