Common use of Acknowledgment of Confidentiality Clause in Contracts

Acknowledgment of Confidentiality. Each Party understands that any Protected Information disclosed to it by the other Party under this Agreement is secret, proprietary and of great value to the disclosing Party, which value may be impaired if the secrecy of the Protected Information is not maintained. The Party disclosing Protected Information is hereinafter sometimes referred to as the “Disclosing Party” and the Party receiving Protected Information is sometimes hereinafter referred to as the “Receiving Party.”

Acknowledgment of Confidentiality. Each Party understands hereby acknowledges that any Protected it may be exposed to confidential and proprietary information belonging to the other party or relating to its affairs, including materials expressly designated or marked as confidential. Confidential Information disclosed to it does not include (i) information already known or independently developed by the other Party under this Agreement is secret, proprietary and of great value to recipient; (ii) information in the disclosing Party, which value may be impaired if the secrecy public domain through no wrongful act of the Protected Information is not maintained. The Party disclosing Protected Information is hereinafter sometimes referred recipient, or (iii) information received by recipient from a third party who was free to as the “Disclosing Party” and the Party receiving Protected Information is sometimes hereinafter referred to as the “Receiving Partydisclose it.”
