Common use of Acknowledgments and Confirmation Clause in Contracts

Acknowledgments and Confirmation. Borrower acknowledges that this Certificate and the attached documents are being delivered in partial satisfaction of the requirements for a "Permitted Acquisition," and further confirms its understanding that the Subject Acquisition will not be a "Permitted Acquisition" until satisfaction of each of the criteria specified in the definition of "Permitted Acquisition" in Section 1.1 of the Credit Agreement, including, without limitation, satisfaction of the conditions precedent set forth in Section 7.2 and on Schedule 7.2.
