Acquisition of Title to Real Property. Within 150 days (210 days in the case of the real property located at 0000 Xxxxxx Xxxx in Saint Xxxx, Minnesota) after the Borrower or any Subsidiary acquires title to any real property, other than a leasehold interest therein, the Borrower shall, or, as applicable, shall cause such Subsidiary to, create a first priority Lien thereon in favor of the Bank to secure the Obligations, pursuant to agreements and instruments reasonably satisfactory to the Bank, provided that no such Lien shall be required in the event the Borrower or such Subsidiary enters into a sale-leaseback agreement relating to such real property within 120 days (180 days in the case of the real property located at 0000 Xxxxxx Xxxx in Saint Xxxx, Minnesota) following the date the Borrower or such Subsidiary acquires such title, provided further that, to the extent such real property is acquired with purchase money financing, to the extent otherwise permitted under this Agreement, the Lien thereon in favor of the Bank may be a second priority Lien.

Acquisition of Title to Real Property. In the event the ------------------------------------- Borrower or any Subsidiary holds or acquires fee title to any real property and has not entered into a sale-leaseback agreement relating to such real property within 270 days following the date the Borrower or any Subsidiary commences operation of a Restaurant on such real property (or within one year following the Closing Date, in the case of the real property located at 0000 Xxxxxx Xxxx in Saint Xxxx, Minnesota) the Borrower shall, or, as applicable, shall cause such Subsidiary to, create a first priority Lien thereon (subject, however, to any Liens permitted by Section 6.14 hereof) in favor of the Agent for itself and for the benefit of the Banks to secure the Obligations, pursuant to agreements and instruments reasonably satisfactory to the Agent, within 30 days after the expiration of such 270- day period (or such one-year period, in the case of the real property located at 0000 Xxxxxx Xxxx in Saint Xxxx, Minnesota), subject, in the case of the any such real property acquired with purchase money financing otherwise permitted under this Agreement, to the execution by the Agent for itself and on behalf of the Banks of any subordination agreement requested by the party providing such purchase money financing and reasonably satisfactory to the Agent.

  • Title to Real Property (a) Neither the Company nor any of the Company Subsidiaries owns any real property. Section 4.10(a) of the Seller Disclosure Schedule sets forth a complete list of all real property and interests in real property leased by the Company and the Company Subsidiaries (individually, a “Leased Property”). Section 4.10(a) of the Seller Disclosure Schedule sets forth a true and complete list of all leases, subleases, licenses, concessions and other agreements relating to the use or occupancy of real property (written or oral), as amended, to which the Company or any of the Company Subsidiaries is a party (“Leases”). The Company and/or one or more of the Company Subsidiaries has good and valid title to the leasehold estates in all Leased Property (a Leased Property being sometimes referred to herein, individually, as a “Company Property”), in each case free and clear of all mortgages, Liens, leases, assignments, subleases, licenses, easements, covenants, rights of way and other similar restrictions of any nature whatsoever, except (i) such as are set forth in Section 4.10(a) of the Seller Disclosure Schedule; (ii) leases, subleases and similar agreements set forth in Section 4.11(a) of the Seller Disclosure Schedule; (iii) Permitted Liens; (iv) easements, covenants, rights of way and other similar restrictions of record which do not, individually or in the aggregate, materially impair the continued use and operation of the Assets to which they relate in the business of the Company and the Company Subsidiaries, as presently conducted; (v) any conditions that may be shown by a current, accurate survey or physical inspection of any Company Property made prior to the Closing and (vi) (a) zoning, building and other similar restrictions, (b) mortgages, Liens, easements, covenants, rights of way and other similar restrictions that have been placed by any developer, landlord or other third party on property over which the Company or any of the Company Subsidiaries has easement rights or on any Company Property and subordination or similar agreements relating thereto, and (c) unrecorded easements, covenants, rights of way and other similar restrictions, none of which items set forth in clauses (v) or (vi), individually or in the aggregate, materially impair the continued use and operation of the property to which they relate in the business of the Company and the Company Subsidiaries as presently conducted.

  • Condition of Title 5.1 If, prior to Closing (as hereinafter defined), a date-down to the Title Commitment discloses any new Unpermitted Exceptions which, in the aggregate, do not exceed $25,000 (each, a "Minor Unpermitted Exception"), Seller shall, at Seller's expense, bond over, cure and/or have such Minor Unpermitted Exceptions removed from the Title Commitment or have the Title Insurer commit to insure against loss or damage that may be occasioned by such Minor Unpermitted Exceptions. Notwithstanding the foregoing, if such date down to the Title Commitment discloses any new Unpermitted Exceptions which, in the aggregate, equal or exceed $25,000, Seller shall have the right, but not the obligation, to bond over, cure and/or have such exceptions removed from the Title Commitment or to have the Title Insurer commit to insure against loss or damage that may be occasioned by such Unpermitted Exceptions. If Seller fails to bond over, cure or have any Unpermitted Exception removed or have the Title Insurer commit to insure as specified above within five (5) business days from the date of the date down to the Title Commitment, Purchaser may terminate this Agreement upon written notice to Seller within three (3) days after the expiration of such five (5) business day period; provided, however, and notwithstanding anything contained herein to the contrary, if the Unpermitted Exception which gives rise to Purchaser's right to terminate was recorded against the Property as a result of the affirmative action of Seller (and not by any unrelated third party) or if Seller is able to bond over, cure or remove a Minor Unpermitted Exception for a cost not to exceed $25,000 or the Title Insurer is willing to insure over a Minor Unpermitted Exception for a cost not to exceed $25,000 in accordance with the terms hereof and Seller fails to expend such funds in either case, then Purchaser shall have the additional rights contained in Paragraph 14 herein. Absent notice from Purchaser to Seller in accordance with the preceding sentence, Purchaser shall be deemed to have elected to take title subject to said Unpermitted Exception, without any reduction in or setoff against the Purchase Price as a result thereof. If Purchaser terminates this Agreement in accordance with the terms of this Paragraph 5.1, this Agreement shall terminate without further action of the parties and all Earnest Money theretofore deposixxx xxxo the escrow by Purchaser, together with any interest accrued thereon, shall be returned to Purchaser, and neither party shall have any further liability to the other, except for those covenants and obligations that specifically survive termination of this Agreement.

  • Protection of Title to Trust Property (a) The Seller shall execute and file such financing statements and cause to be executed and filed such continuation statements, all in such manner and in such places as may be required by law fully to preserve, maintain, and protect the interest of the Issuer and the Indenture Trustee for the benefit of the Noteholders in the Receivables and in the proceeds thereof. The Seller shall deliver (or cause to be delivered) to the Owner Trustee and the Indenture Trustee file-stamped copies of, or filing receipts for, any document filed as provided above, as soon as available following such filing.
