Action contrary to law. Each Agent may refrain from doing anything that would or might in its opinion be contrary to any law of any jurisdiction or any directive or regulation of any agency of any state or which would or might otherwise render it liable to any person or cause it to act in a manner which might prejudice its interests and may do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.
Action contrary to law. Nothing contained herein shall require either the parties to take any action that would be a violation of law, or would cause default on any obligation, contract pre-dating this agreement, or debt instrument.
Action contrary to law. No Agent shall be obliged to do anything that would or might in its opinion be contrary to any law of any jurisdiction or any internal policies or regulations relating to KYC or anti-money laundering or any directive or regulation of any agency of any state or which would or might otherwise render it liable to any person or cause it to act in a manner which might prejudice its interests and may do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.
Action contrary to law. No Agent shall be obliged to do anything that would or might in its opinion be contrary to any applicable law of any state or jurisdiction (including, but not limited to, Ireland, the Russian Federation, the European Union and the United States of America or any jurisdiction forming a part of any of them and England and Wales) or any applicable directive or regulation of any agency of any state or any internal policies relating to ‘know your client’ or anti money laundering or which would or might otherwise render it liable to any person or cause it to act in a manner which might prejudice its interests and may do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.
Action contrary to law. Notwithstanding anything else herein contained, the Agents may refrain without liability from doing anything that would or might in its opinion be contrary to any law of any state or jurisdiction (including but not limited to Germany, the United States of America or any jurisdiction forming a part of it and England & Wales) or any directive or regulation of any agency of any such state or jurisdiction and may without liability do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.
Action contrary to law. The Trustee and the Share Trustee-Custodian may refrain from doing anything in any jurisdiction if doing the relevant thing in that jurisdiction would, in its opinion based upon legal advice in the relevant jurisdiction, be contrary to any law of that jurisdiction, or would otherwise render it liable to any person in that jurisdiction or if, in its opinion based upon such legal advice, it would not have power to do the relevant thing in that jurisdiction by virtue of any applicable law in that jurisdiction or if it is determined by any court or other competent authority in that jurisdiction that it does not have such power.
