Action Upon Termination. (a) From and after the effective date of termination of this Agreement, pursuant to Sections 13, 14, or 15 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreement, but shall be paid all compensation accruing to the date of termination and, if terminated pursuant to Section 13 or Section 15(b), the applicable Termination Fee. Upon such termination, the Manager shall forthwith:

Action Upon Termination. (a) From and after the effective date of termination of this Agreement, pursuant to Sections 13, 14, or 15 of this Agreement, the Manager shall not be entitled to compensation for further services or reimbursement of expenses under this Agreement, but shall be paid all compensation (Monthly Fees, Management Fee and Incentive Compensation), and Expenses, in each case accruing or earned to the date of termination and, if terminated pursuant to Section 13 or Section 15(b), the applicable Termination Fee. Upon such termination, the Manager shall forthwith:

(a) From and after the effective date of termination of this Agreement, Agreement pursuant to Sections 1310, 1411, or 15 12 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreementhereunder, but shall be paid all compensation accruing to the date of termination and, if terminated pursuant to Section 13 or Section 15(b)payable, the applicable Termination Fee. Upon any such termination, the Manager shall forthwith:

Action Upon Termination. (a) From and after the effective date of termination of this Agreement, pursuant to Sections Section 13, 14, or 15 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreement, but shall be paid all compensation accruing to the date of termination and, if terminated pursuant to Section 13 or Section 15(b15(c), the applicable Termination Fee. Upon such termination, the Manager shall forthwith:

Action Upon Termination. (a) From and after the effective date of termination of this Agreement, pursuant to Sections 13, 14, or 15 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreement, but shall be paid all compensation accruing to the date of termination andtermination, including, if terminated pursuant to Section 13 or Section 15(b)applicable, the applicable Termination Fee. Upon such termination, the Manager shall forthwith:deliver to the Board of Directors all property and documents of the Company or any Subsidiary then in the custody of the Manager.

Action Upon Termination. (a) From and after the effective date of termination of this Agreement, Agreement pursuant to Sections Section 11, 12 or 13, 14, or 15 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreementhereunder. If the Manager is terminated pursuant to Section 11(b) or 13(b) or upon liquidation of the Company, but it shall be paid all compensation accruing to the date of termination and, if terminated pursuant to Section 13 or Section 15(b), the applicable Termination FeeFees Accrued Upon Termination. Upon any such termination, the Manager shall forthwith:

(a) From and after the effective date of termination of this Agreement, pursuant to Sections 1314(b), 1414(c), 15, 16 or 15 17 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreementhereunder, except pursuant to any separate written management termination agreement that may hereafter be negotiated by the parties, but shall be paid all compensation accruing to the date of termination andtermination, if terminated including any Incentive Compensation which may be owed pursuant to Section 13 or Section 15(b), the applicable Termination Fee7(b) of this Agreement. Upon such termination, the Manager shall forthwith:

(a) From and after the effective date of termination of this Agreement, pursuant to Sections 13, 14, 14 or 15 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreementhereunder, except pursuant to any ------ separate written management termination agreement that may hereafter be negotiated by the parties, but shall be paid all compensation accruing to the date of termination andtermination, if terminated pursuant to including deferred incentive compensation which is recoverable in accordance with Section 13 or Section 15(b), the applicable Termination Fee7(e) of this Agreement. (a) From and after the effective date of termination of this Agreement, Agreement pursuant to Sections 13, 14, or 15 Section 17 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreement, but shall be paid all compensation accruing to the date of termination and, if terminated pursuant to Section 13 or Section 15(b)17(c) of this Agreement, the applicable Termination FeeFee (if any). Upon such termination, the Manager shall forthwith:

Upon such termination, the Manager shall forthwith:

(a) From and after the effective date of termination of this Agreement, pursuant to Sections 13, 14, 15 or 15 16 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreement, but shall be paid all compensation accruing to the date of termination and, if terminated pursuant to Section 13 14(a) or Section 15(b16(b), the applicable Termination Fee. Upon such termination, the Manager shall forthwith:

(a) From and after the effective date of termination of this Agreement, pursuant to Sections 1313(b), 14, 14 or 15 of this Agreement, the Manager shall not be entitled to compensation for further services under this Agreementhereunder, except pursuant to any separate written management termination agreement that may hereafter be negotiated by the parties, but shall be paid all compensation accruing to the date of termination andtermination, if terminated pursuant to including deferred Incentive Compensation which is recoverable in accordance with Section 13 or Section 15(b), the applicable Termination Fee7(b) of this Agreement. (a) From and after the effective date of termination of this Agreement, Agreement pursuant to Sections 13, 14, or 15 of this AgreementSection 16, the Manager shall not be entitled to compensation for further services under this Agreementpursuant to Section 10 or 11, but the Manager shall be paid all compensation accruing due for services performed prior to the effective date of termination and, if terminated pursuant to Section 13 or Section 15(b), the applicable Termination Feesuch termination. (a) From and after the effective date of any termination of this Agreement, Agreement pursuant to Sections 13, 14, or Section 15 of this Agreementhereof, the Manager shall not be entitled to no compensation for further services under this Agreementrendered hereunder, but shall be paid paid, in addition to any amount due under Section 15(d), on a pro rata basis, all compensation accruing due for services performed prior to the effective date of termination and, if terminated pursuant to Section 13 or Section 15(b), the applicable Termination Feesuch termination.
