Action Without a Meeting; Telephonic Meetings. (a) On any matter requiring an approval or consent of Managers under this Agreement or the Act, the Managers may take such action without a meeting, without prior notice, and without a vote if a consent or consents in writing, setting forth the action so taken, shall be signed by all of the Managers.

(a) On any matter requiring an approval or consent of the Board of Managers under this Agreement or the Act, the Board of Managers may take such action without a meeting, without prior notice, meeting and without a vote if a consent or consents in writing, setting forth the action so taken, shall be signed by all the Managers having not less than the minimum number of the Managersvotes that would have been required to authorize or take such action at a meeting (provided that at least one Manager appointed by a Wachovia Member and at least one Manager appointed by a Prudential Member shall have approved such action).
