Common use of Actions in Lieu of a Meeting Clause in Contracts

Actions in Lieu of a Meeting. Subject to the provisions of Sections 4 and 5 hereof, the Observers shall be entitled to receive copies of any action taken by a consent in lieu of a meeting of the Board within 10 days after the date of such consent. Notice of such consent shall be given to the Observers concurrently with the distribution of the request for such consent to the members of the Board, provided that failure to give such notice or deliver a copy of any such consent to an Observer shall not, of itself, impair the validity of any action taken by the Board pursuant to such consent.

Subject to the provisions of Sections 4 2.3 and 5 2.4 hereof, the Observers Observer shall be entitled to receive copies of any action taken by a consent in lieu of a meeting of the Board within 10 ten (10) days after the date of such consent. Notice No prior notice of such consent shall be given to the Observers concurrently with the distribution of the request for such consent to the members of the Board, provided that required hereunder and failure to give such notice or deliver a copy of any such consent to an Observer shall not, of itself, impair the validity of any action taken by the Board pursuant to such consent.
