Actions of the Governing Board. 18 Actions of the Governing Board shall be taken only if a quorum is in attendance, and shall be 19 effective upon approval of a majority of the members present. A quorum is one more member 20 than half of the total membership. The Governing Board shall select a Chair and Vice-Chair and 21 shall meet at least annually to consider and approve the budget of the Library JPA for the next 22 fiscal year, elect officers, and conduct any other necessary business. The Board may also hold 23 other special meetings as convened by the Chair.
