Actions to Be Taken Prior to Closing. Prior to the Closing Date, Company shall complete all of the actions set forth on Section 6.12 of the Company Disclosure Schedule.
Actions to Be Taken Prior to Closing a. Each of the Parties will use his or its reasonable best efforts to take all action and to do all things necessary, proper, or advisable to consummate and make effective the transactions contemplated by this Agreement.
Actions to Be Taken Prior to Closing. Officers of Borrowers will execute and deliver to Lender a Perfection Certificate containing representations and warranties with regard to information necessary for the preparation of closing documents and performance of lien searches. Personal property lien searches will be conducted in all appropriate jurisdictions. Financing Statements or appropriate forms will be filed in advance of closing to eliminate any time gap in searches of the public records. Searches in the appropriate real estate recording offices will be conducted. The assignment documents, as described on Schedule I between GemCap and Xxxxxx will be executed and delivered.
