Additional Condition Applicable to Post-Employment Vesting. The Committee may cancel the unvested portion of the Award if it determines, in its sole discretion, that Participant has, during or after Participant’s employment with the Company, engaged in conduct that breaches any obligation or duty of loyalty to the Company, or that is materially injurious to the Company.
